1. When these Terms & Conditions apply These Terms & Conditions apply to your use of the Canadia Internet and/or Mobile Banking services (the “Terms & Conditions”). It is important that you read these Terms & Conditions before you use the Canadia Internet and/or Mobile Banking. If you do not understand, or are unsure about any aspect to these Terms & Conditions, do not hesitate to ask Canadia Bank to clarify the matter for you. If there is any inconsistency between these Terms & Conditions and your account terms & conditions, these Terms & Conditions prevail to the extent of the inconsistency, unless otherwise provided for in these Terms & Conditions.

2. When these Terms & Conditions take effect The first use of Canadia Internet and/or Mobile Banking by the Account Holder, Authorized User, Chief Accountant User, Administrator User and Internal User after the account holder receives these Terms & Conditions indicates acceptance of these Terms & Conditions.

3. Eligibility for Canadia Bank Internet and Mobile Banking (1) Individual Customer: a. Individual or joint account holders (for joint account holders the signing mandate is alternate signing/either one “OR”) b. Have their own personal email address (both primary and joint account holder) Or personal telephone number to receive OTP code (2) Corporate Customer: a. May have one or more business accounts b. Each individual user of the corporate account(s) must be assigned as authorized signatory(s), who can then transact on the corporate account(s) c. It is not possible to have Corporate and Individual accounts on the same registration d. Users must have their own email address (Account Holder, Authorized User(s), Chief Accountant(s) and Administrator) Note: 

An individual who has both Individual and Corporate accounts must have two separate registrations/User Names. One for their Individual Internet and Mobile Banking and another one for Corporate Internet Banking.

4. Definitions In these Terms and Conditions, the following definitions apply unless otherwise stated: Account

: means all bank accounts held with Canadia Bank, which are allowed to be linked on Canadia Internet and Mobile Banking, and which the Account Holder has nominated to be linked on Canadia Internet and Mobile Banking.

Account Holder

: means the person or entity in whose name the Account has been opened and who is responsible for Account under the relevant Account authority.

Administrator User

: means the person who is authorized by the corporate customer (Account Holder) to be responsible for setting up and maintaining the corporate Internal User registration.

Authorized User

: means the person who is authorized by the corporate customer to approve any transaction; initiated by Internal User or Account Holder User through Canadia Bank Internet Banking at final approval as a substitute for the Account Holder.

Authentication Code

: means a number generated randomly by RSA device or SMS One Time Password by Canadia Bank E-Banking system.

Authorized Signatory

: for the purpose of Canadia Bank Internet and Mobile Banking means a person or a persons authorized by the corporate customer (Account Holder) to access the corporate’s nominated linked Account(s) through Canadia Internet Banking.

Biller

: means an organization in the Kingdom of Cambodia in which Account(s) is held and opened with Canadia Bank and registered with Canadia Bank to receive payments from Canadia Bank customers via Canadia Internet and Mobile Banking channels.

Bill Payments

: means the function available through Canadia Bank Internet and Mobile Banking through which you may lodge instructions to Canadia Bank to make immediate payments from your eligible nominated linked account(s) opened and held with Canadia Bank to your nominated Biller.

Chief Accountant User

: means the person who is authorized by the corporate customer verify any transaction initiated by Internal User or Account Holder User through Canadia Bank Internet Banking before final approval by the Account Holder or Authorized User.

Financial Institution

: Microfinance Institution, Bank or other financial entity

Internet Banking

: means the service of providing electronic access (browser) to the nominated linked account(s) via the Internet.

Internal User

: means person who is authorized by the corporate customer to transact or approve the corporate’ nominated linked account through Canadia Bank Internet Banking and be created by the Administrator User.

Mobile Banking

: means the service of providing electronic access (selected/smart mobile phone) to nominated linked account(s) via application.

Password

: means a sequence of a minimum of 6 and maximum of 16 characters (consisting of both alpha and numeric) to access Canadia Bank Internet and Mobile Banking and including the password first issued by Canadia Bank to customer to access Canadia Bank Internet and Mobile Banking.

Regular Product

: means customer request for making transfer or other request thru online

Inquiry Product

: means customer request for viewing statement only

Security Device

: means a physical device issued by Canadia Bank which generates random numbers to be used to authorize online transactions.

Security Code

: means 5 digit numbers generated randomly by Canadia Bank EBanking system, which must be used together with your User Name and Password to access Canadia Bank Internet Banking.

SMS OTP

: One Time Password (OTP) is a 6 digit code generated by Canadia Bank E-Banking system and sends to Account Holder’s mobile phone via SMS, which must be used to authorize online payment transaction.

User Name

: means minimum 6 digit numbers or plus an alpha (A-Z) issued by Canadia Bank E-Banking system, which enables Canadia Bank to identify customers before accessing Canadia Bank Internet and Mobile Banking.

You

: means, unless the context requires otherwise, the Account Holder (Individual & Corporate customer), and each Authorized Signatory(s) (“Your” has a corresponding meaning). 5. Initial Access to Canadia Internet and Mobile Banking

You can access Canadia Internet and Mobile Banking using the User Name, temporary password and security code issued to you by Canadia Bank following registration. When you first access Canadia Internet and Mobile Banking, you will be required to change the temporary password and select a new password, minimum of 6 and maximum of 16 characters comprising of both upper and lower case, numeric characters and special character.. 6. 7. Nominated Accounts Canadia Internet and Mobile Banking are only available on Account(s) which you nominate to be linked and which are available for access on Canadia Internet and Mobile Banking. Account(s) opened and held with Canadia Bank in the Kingdom of Cambodia may be linked together on Canadia Internet and Mobile Banking, unless:  this is prohibited by Law; or  Canadia Bank, at its sole discretion, restricts or does not approve the Account(s) you have nominated to be linked on Canadia Internet and Mobile Banking, in which case Canadia Bank will notify you of such restriction or non-approval.



Account Holder:

 Individual Customer: The primary account holder will be able to view only the accounts under the same CID, including joint account designated condition “OR” with other account holders, and account not nominated and for new account opening after registration  Corporate Customer: Only Account Holder (authorized person) is able to view all accounts under the same CID, including new accounts and accounts not yet nominated. Canadia Bank may also restrict your use of Canadia Internet and Mobile Banking on a nominated linked Account. For instance, Canadia Bank may limit the amount of any type of transaction on a nominated linked Account. 8. Joint Individual Account Where the Account Holder is an Individual, and the Account(s) nominated to be linked on Canadia Internet and Mobile Banking is held jointly with one or more persons and signing condition is all sign “AND”, these customers will not be granted registration with Canadia Internet and/or Mobile Banking. 9. Authorized Person(s) Clause 9 only applies to where the Account Holder is a corporate customer, and has nominated a person or persons as an Authorized Signatory(s). All Authorized Persons must comply with the Law and Canadia Bank’s customer identification requirement, except where an Authorized Person(s) has been nominated as an Internal User as referred to in clause 10.1 (3). I.

Nomination

(1)

Each Authorized Person will be assigned by the owner or all required signatories in accordance with the Memorandum of Articles of the corporation either to approve the transaction or create an Internal User for each nominated linked Account on Canadia Internet Banking (the “Access Level”).

(2)

Four key Authorized Persons are nominated, namely Account Holder user, Authorized User, Chief Accountant user and Administrator. The Authorized Persons will be able to perform the following functions through Canadia Internet Banking: a. Account Holder user: may initiate, view and authorize transaction for last approval through Canadia Internet Banking. b. Authorized User: may view and authorize transaction for last approval (as substitute the Account Holder) through Canadia Internet Banking. c. Chief Accountant user: may view and authorize transactions (after initiated or approved by Internal User) before last approval by Authorized User or Account Holder. d. Administrator user: may set up and maintain Internal User through Canadia Internet Banking.

Internal Users are individuals appointed and maintained by Administrator User through Canadia Internet Banking, and therefore are not recorded on the relevant Account authority or the Corporate Registration of Canadia Internet Banking Form. Internal Users are permitted to view, initiate or approve transactions on the Corporate’s nominated linked Account(s) through Canadia Internet Banking only and not through any other means. Canadia Bank accepts no liability or responsibility for any functions conducted or transactions initiated by an Internal User through Canadia Internet Banking.

II.

User Name, Password and RSA Token for Authorized Person(s)

When the Authorized Person(s) first access Canadia Internet Banking, the Authorized Person(s) must use the User Name, temporary password and security code issued by Canadia Bank E-Banking system, and will then be required to change the temporary password and select a new password of his/her choice in accordance with the password policy. If the Authorized person(s) leaves the corporation, the User Name and RSA Token (for Account Holder and Authorized User) of that Authorized Persons must be suspended or cancelled. The Owner or all the required Signatories of the corporation are able to suspend any User Name or RSA Token at any time by written notice given to Canadia Bank. 10. 12. Unsuccessful Request – Specific a. Bank Cheque or Bank Draft Request b. Domestic Transfer c. Overseas Transfer  Your request will not be processed if:    

all necessary information is incomplete incorrect information provided transaction still pending and waiting for authorization by Account Holder or Authorized User your requested account has been restricted or prohibited by Law from permitting the payment to occur. insufficient funds at the time being processed suspicious transaction or regulatory reason cannot contact the Account Holder and Authorized User if required

Canadia Bank may at its sole discretion delay your request or may contact the Account Holder or an Authorized User; from time to time for verification the purposes of payment; confirms your request by telephone before processing. Canadia Bank is not responsible for any inaccuracies in request provided by the Account Holder or an Authorized User or liable to the Account Holder or Authorized User for any loss arising from such inaccuracies in requests.

13. Opening and Closing Online Fixed Deposit Through Canadia Internet Banking Online Fixed Deposit Account may be opened through Canadia Internet Banking with automatic renewal for the same period at the prevailing rate of interest unless you close it on the maturity date of the term. Online Fixed Deposit opened through Canadia Internet Banking cannot be closed at any Canadia Bank branch, however it may be closed only through Canadia Internet Banking. Closing Online Fixed Deposit before maturity date (early withdrawal) will not be subject to any penalty, however the interest payment applied will be the saving account’s interest rate. Total interest payable is subject to the tax withholding deduction in accordance with the Prakas on Tax of the Kingdom of Cambodia. 14. Currency Any credit or debit from your Account through Canadia Internet and Mobile Banking in a currency other than the currency in which your Account is denominated will be subject to the exchange rate applicable to the currency of the transaction involved at the time of transaction. Canadia Bank will determine the exchange rate to convert the foreign currency amounts to the equivalent amounts in the different currency or the local currency of the Kingdom of Cambodia, and you agree and acknowledge the converted exchange rate. 15. Fees and Charges When you use Canadia Internet and Mobile Banking to make particular transactions, Canadia Bank may impose fees and charges. You agree to pay the fees and charges, and you also agree that Canadia Bank may debit those fees and charges directly from your account. These fees and charges may be amended by Canadia Bank from time to time. Full details of all current fees and charges are available at your nearest Canadia Bank branch. 16. Variation of these Terms & Conditions and Fees & Charges Canadia Bank may amend these Canadia Internet and Mobile Banking Terms & Conditions and Fees & Charges applicable to Canadia Bank Internet and Mobile Banking upon its sole discretion or whether required by Law or otherwise. Canadia Bank may vary these Terms & Conditions and Fees & Charges applicable to Canadia Internet and Mobile Banking at any time without prior notice. However, the changes of applicable fees & charges are available on ATM terminal or Canadia Bank website. 17. Account Information Any balance for a nominated linked Account which you obtain through Canadia Internet and Mobile Banking will be the current balance (exclude minimum holding balance) as at time you make the enquiry, and may exclude uncleared funds (for example cheques which have not been cleared). When you obtain an account balance, the maximum amount which you can withdraw from the nominated linked Account will also be displayed, subject to any limits which may apply on Canadia Internet and Mobile Banking. You may also search and view all transactions conducted on your nominated linked Account(s) (up to the last twelve (12) months) on Canadia Internet and Mobile Banking. 18. RSA Token Validity Your RSA Token remains Canadia Bank’s property at all times. The RSA Token must be activated in the manner specified by Canadia Bank. The Account Holder must ensure that the Account Holder and its Authorized Users return the RSA Token to Canadia Bank immediately if requested by Canadia Bank, including if the relevant RSA Token is deregistered, if Canadia Internet Banking access is

cancelled or if Canadia Bank cancels your right to use the RSA Token, you must return the RSA Token to your Canadia Bank branch. If your RSA Token lost, stolen or broken, you must notify Canadia Bank immediately and you may visit your Canadia Bank branch to apply for new RSA Token. Fees will be applied for providing new, lost, stolen or broken RSA Token. 19. Cancellation or Suspension of Password, User Name or Electronic Access Canadia Bank may cancel or suspend any password, User Name or RSA Token without prior notice (unless prohibited by the Law) if:       

Canadia Bank suspects the Account Holder or Authorized Person(s) of being fraudulent or engaging in inappropriate behavior; Canadia Bank believes that use of the Account Holder or Authorized Person’s User Name or electronic access may cause loss to the Account Holder or to Canadia Bank; all the Accounts which the User Name related to have been closed; Canadia Bank’s system or equipment malfunction or are otherwise unavailable for use; Canadia Bank believes that the security of the Account Holder or Authorized Person’s electronic access or Canadia Bank’s system and equipment may have been compromised; the Password has been entered incorrectly three (3) times; Canadia Bank is required to do so by Law.

20. Unauthorized Transactions This clause 20 sets out the parties’ liability for unauthorized transactions conducted through Canadia Internet and Mobile Banking. 1.1. When Canadia Bank is Liable Canadia Bank will be liable for actual losses incurred by the Account Holder that:   



 

are caused by fraudulent or negligent conduct of Canadia Bank’s employees or agents; related to faults that occur in the Canadia Bank Internet and Mobile Banking system, unless the faults are obvious or advised by message or notice on display; arise from transactions that require the use of any Password or RSA Token that occur before you have received or selected the Password or RSA Token (including a reissued Password or reissued Authentication Code); result from an unauthorized transaction that occurs after you have notified Canadia Bank that your RSA Token has been misused, lost or stolen or that the security of your Password, RSA Token or Authentication Code has been breached; result from same transaction being incorrectly debited more than once to the same account; result from an unauthorized transaction if it is clear that you have not contributed to the losses. 1.2. When Account Holder or/and Authorized User are Liable

In addition to any liability set out in your Account terms, the Account Holder/Authorized User is liable for any actual loss of funds or any interception of information through any unauthorized access to the Account Holder’s or Corporate’s Account(s) if the Account Holder/Authorized User contributed to the unauthorized access:   

through your fraud or negligence; by voluntarily disclosing your Password or Authentication Code to anyone including a family member or friend; by keeping a record of the Password or Authentication Code (without making any reasonable attempt to disguise it) o on RSA Token or with the User Name; o on any article carried with RSA Token or with the User Name;

o

 

in or on that which may be lost or stolen at the same time as the RSA Token or the User Name by choosing a Password that is easily identified with you, such as your birth date, car registration, telephone number or your name; by using the same Password for other purposes, including Canadia Internet and Mobile Banking;

If, after you become aware of the loss, theft or breach of the security of your Password, you do not immediately notify Canadia bank, you will be liable for the actual losses incurred between:  

the time you first became aware of any of the events described above or in the case of loss or theft of a RSA Token, should you have reasonably become aware of the loss or theft; and the time Canadia Bank is actually notified of the relevant even

21. Termination The Account Holder/Corporate Customer may cancel their access to Canadia Internet and Mobile Banking (or revoke the authority of an Authorized Signatory(s) to access the Account Holder’s Account(s) using Canadia Internet and Mobile Banking) at any time by giving a written notice to your Canadia Bank branch or completing the relevant Canadia Internet and Mobile Banking Amendment Form for cancellation and submitting it to your Canadia Bank branch. 22. Indemnity To the extent permitted by Law, the Account Holder and/or Authorized Person(s) agrees to indemnify Canadia Bank against any loss or damage Canadia Bank may suffer due to any claim, demand or action of any kind brought against Canadia Bank arising directly or indirectly because the Account Holder and/or Authorized Person(s), including Internal User  

did not observe their obligations under these Terms & Conditions; or acted negligently or fraudulently in connection with these Terms and Conditions.

23. Privacy and Confidential Disclosure When you deal with Canadia Bank, Canadia Bank is likely to collect and use some of your information, including details about your transactions, your financial conditions, your account relationship with Canadia Bank and/or your Account(s) (herein collectively referred to as “Information”). Canadia Bank explains below when and how Canadia Bank may collect and use your information. Collection of your information by Canadia Bank Canadia Bank may, to the extent permitted by Law, collect your information:     

 

to assist in providing information about a product or service; to consider your request for a product or service; to enable Canadia Bank to provide a product or service; to tell you about other products or services that may be of interest to you; to perform other administrative and operational tasks (including risk management, systems development and testing, credit scoring, staff training and market or customer satisfaction research); to prevent or investigate any fraud or crime (or a suspected fraud or crime); and as required by relevant laws, regulations and external payment systems, whether inside or outside the kingdom of Cambodia.

Absence of relevant Information If you do not provide some or all of the information requested, Canadia Bank may be unable to provide you with a product or service.

Disclosure by Canadia Bank Subject to Canadia Bank’s general duties of confidentiality towards Canadia Bank’s customers and to the extent permitted by Law, by applying for and/or continuing to use the Canadia Internet and Mobile Banking, you agree that Canadia Bank may use and disclose your information to:   

    

any office, branch, affiliate, subsidiary, employee or agent of an Canadia Group Member or to its auditors or legal advisers, credit reporting or debit collecting agencies, any outsourced provider, agents and contractors which Canadia Bank or any Canadia Group Member engages to carry out or assist its banking functions and activities, including the Canadia Internet and Mobile Banking services, regulatory bodies, government agencies, law enforcement bodies, taxation authorities and courts within the country, other parties Canadia Bank is authorized or required by Law, or by Law in any other country to disclose information to, other bank or financial institutions, your authorized agents or your executor, administrator or legal representative, any person as Canadia Bank shall in its absolute discretion think fit.

Accessing your information held by Canadia Bank To the extent permitted by law, you may access and request correction of your information at any time by asking to do so at any Canadia Bank branches. 24. Inconsistency In the event of any inconsistency between the Khmer language and other languages of this document, the Khmer version shall prevail to the extent of the inconsistency. 25. Tips for Password Security Conditions: Password is the first line of defense against cyber criminals. It is crucial to pick strong passwords that are different for each of your other important accounts, and it is good practice to update your passwords regularly. Follow these tips to create strong passwords, and keep them secure and decrease the Account Holder’s liability for any loss.           

Avoid accessing internet banking website via a link from an email or other website Avoid re-using your old password that you have used before, and do not store the password in any objects, in written or electronic form Avoid setting password as phone number, name, date of birth or any password that is easy to guess Avoid sharing your password with someone else, and make sure no one is watching as you enter the password Change your password or call to the bank immediately when you suspect someone knows your password Do not download or install any program from unknown sources Please log in to your Internet and Mobile Banking immediately after registration Public Internet and Wi-Fi are not recommended for use Log out properly after using Canadia Bank Internet and Mobile Banking Use a strong and long password made up of numbers, letters and symbols. This is highly recommended You must change your password frequently and use separate passwords for every account

Canadia Bank encourages you to change your Password on a regular basis. If your password, User Name, Security device is lost or stolen or an unauthorized transaction has occurred on your linked Account(s) through Canadia Internet and Mobile Banking, you must notify Canadia Bank immediately.
