ANNOUNCEMENT ANNE ARUNDEL COUNTY, MARYLAND Annapolis, Maryland INVITATION FOR BID JANITORIAL SERVICES – UTILITIES BUILDING A AND WAREHOUSE OFFICE IFB NO. 16-027 NOTICE TO BIDDERS Specifications and Bid Responses for providing the subject items/services are available at the Anne Arundel County Purchasing Division, The Heritage Office Complex, 2660 Riva Road, Third Floor, Annapolis, Maryland, 21401, and will be received until 1:30 pm, local time, TUESDAY, MARCH 1, 2016, at the same location after which they will be publicly opened and read in the Patuxent Room on the same floor. Bids received after the above-referenced time set for opening will be rejected and returned unopened. No recording of any kind by the public will be allowed at any pre-bid conference or bid opening. To all Bidders: Anne Arundel County Purchasing Division will no longer automatically mail complete bid packages. Instead, we encourage anyone receiving this Notice to review and download a bid package from either the County website at www.aacounty.org. or https://emaryland.buyspeed.com/bso/ . A copy of the bid package may also be picked up at the above address during normal business hours. **IMPORTANT NOTICE: Addenda to solicitations often occur, sometimes within as little as 48 hours, prior to bid opening. Anne Arundel County, Maryland INVITATION FOR BID IFB NO. 16-027 JANITORIAL SERVICES – UTILITIES BUILDING A AND WAREHOUSE OFFICE Sealed bids or proposals addressed to the County Purchasing Agent will be received in the Office of the Purchasing Agent, Anne Arundel County, Maryland, until 1:30 p.m., local time, March 1, 2016, and will be publicly opened at 1:30 p.m., local time, on that date. BID SPECIFICATIONS SECTION ONE – GENERAL INSTRUCTIONS 1.1

INSTRUCTIONS – Instructions, forms, and specifications may be obtained in person from the Anne Arundel County Office of the Purchasing Agent, The Heritage Office Complex, 2660 Riva Road, Third Floor, Annapolis, Maryland, 21401, or may be downloaded from the County’s website at www.accounty.org. 1.1.1

All Bids shall be submitted in duplicate on and in accordance with forms for this purpose, which are available at the Office of the Purchasing Agent.

1.1.2

All Bids are to be submitted in a sealed envelope.

1.1.3

Each Bid shall be accompanied by a notarized affidavit (non-collusion oath/anti-bribery) executed by the Bidder or, if the Bidder is a business entity, by a duly authorized representative of the business entity. The form for this oath is provided in this IFB and can also be obtained by the Office of the Purchasing Agent.

1.1.4

Additional information or clarification of any of the instructions or information contained herein may be obtained from the Office of the Purchasing Agent. The deadline for submitting a written request for clarification of requirements is February 22, 2016, at 3:00 p.m., local time. The County Purchasing Agent will respond by notifying all Bidders by written addendum.

1.1.5

Any Bidder finding any discrepancy in or omission from the Specifications resulting in doubt as to their meaning, or feeling that the Specifications are discriminatory, shall notify the County Purchasing Agent in writing no later than February 22, 2016, at 3:00 p.m., local time. These exceptions in no way obligate the County to change its Specifications. The County Purchasing Agent will respond by notifying all Bidders by written addendum of any interpretations made of the Specifications.

1.1.6

The County shall assume no responsibility for oral communications. All official correspondence in regard to the Specifications shall be directed to and shall be issued by the County Purchasing Agent in writing.

1.1.7

To better ensure fair competition and to permit a determination of the lowest Bidder, Bid Responses may be rejected if they show any omission, irregularity, alteration of form, addition, condition, unresponsiveness, or unbalance.

1.1.8

Specifications provided are based on County needs and uses, estimated costs of operation and maintenance, and other significant or limiting factors to meet County requirements and consistent with County policies. Minimum and maximum specifications, where included, are not established arbitrarily to limit competition or to exclude competitive Bidders.

In the case of discrepancy between the unit price or rate and the extension of that unit price or rate, the unit price or rate shall govern.

TAXES: RESPONSIBILITY FOR PAYMENT, EXEMPTIONS, FORMS TO BE FILED, ETC. 1.2.1

The Successful Bidder is responsible for paying and, by submitting a Bid, agrees to pay all retail sales, income, real estate, sales and use, transportation, special, and any other taxes applicable to and assessable against any goods, processes, and operations incident to or related to this Invitation for Bid. The Successful Bidder is responsible for ascertaining applicable taxes and making all necessary arrangements to pay same.

1.2.2

All prices quoted shall be exclusive of any State, Federal, or other applicable taxes, including Federal Excise Tax on trucks or any other goods or accessories.

RESERVATIONS 1.3.1

The Purchasing Agent may reject all Bids and cancel the IFB, may reject parts of all Bids, or may reject all Bids for any one or more Goods or Services if, in the Purchasing Agent’s judgment, it is in the County’s best interest and the public interest will be served thereby. A written record explaining the reasons for such rejection shall be maintained with the records related to the Procurement.

1.3.2

The County Purchasing Agent reserves the right to waive formalities or technicalities in Bids as the interest of the County may require.

1.3.3

The quantities appearing in this IFB are approximate only and are prepared for the canvassing of bids. Payment to the Successful Bidder will be made only for the actual quantities of goods or services provided in accordance with the resulting Contract, and it is understood that the scheduled quantities of goods or services to be furnished may be increased, decreased, or omitted without invalidating the Bid.

1.3.4

The County Purchasing Agent reserves the right to award contracts or place orders on a lump sum or individual item basis, or in such combination as shall, in his or her judgment, be in the best interest of the County.

1.3.5

The County Purchasing Agent may waive minor differences in Specifications provided these differences neither violate the Specification intent nor materially affect the operation for which goods or services are being purchased and do not increase estimated maintenance and repair costs to the County.

SUBSTITUTES 1.4.1

When an item is designated as “no substitutes”, only that brand/manufacturer and stock number shall be accepted, except goods manufactured by the same manufacturer and sold under a competitive brand name.

1.4.2

For all items not designated “no substitutes”, the County will consider a “Countyapproved equivalent.” Equivalent items will be considered provided descriptive literature and specifications accompany the Bid. Each Bidder shall indicate on the Bid Response Form “As Specified”, or the equivalent manufacturer and model number. The County, in its sole discretion, will evaluate and award each item. The Bidder shall indicate clearly

Catalog cuts and descriptive data shall be attached to the original copy of the Bid where applicable. Failure to submit the above information may be sufficient grounds for rejection of the Bid. 1.4.3

1.5

No Bidder shall be allowed to offer more than one price on each item even though the Bidder may believe that two or more types or styles will meet specifications. Bidders shall determine for themselves which to offer. If a Bidder submits more than one price on any item, all prices for that item may be rejected at the discretion of the Purchasing Agent.

MATERIAL SAFETY DATA SHEETS If goods provided to the County contain any ingredients that could be hazardous or injurious to a person’s health, a Material Safety Data Sheet (“MSDS”) shall be provided to the Purchasing Agent by the Successful Bidder. This requirement also applies to any goods used by the Successful Bidder when providing a service to the County.

1.6

INSPECTION All goods delivered to and services performed for the County shall be subject to final inspection by the County and tests by the testing facilities of the County and other independent testing laboratories as may be designated by the Purchasing Agent. If the result of tests indicates that any part of the goods or services are deficient in any respect, the Purchasing Agent, in his or her absolute discretion, may reject all or any part of the goods or services provided to the County. Variances in goods and services may be waived upon approval by the Purchasing Agent, in his or her absolute discretion.

1.7

DISPUTES In cases of disputes as to whether the goods or services quoted or delivered meet Specifications, the decision of the County Purchasing Agent shall be final and binding on both parties. The County Purchasing Agent may request the recommendation in writing of the head of the County Agency using the goods or service, the Standards and Specifications Committee, or other sources.

1.8

LAW AND REGULATIONS The Successful Bidder shall comply with all applicable Federal, State, and local laws and ordinances. The Successful Bidder shall protect and indemnify Anne Arundel County, Maryland, and its agents or employees against any claim or liability arising from or based on the violation of any laws, ordinances, or regulations by the Successful Bidder and by any subcontractors, agents, or employees.

1.9

EQUAL OPPORTUNITY 1.9.1

1.10

Every Contractor doing business with the County shall agree not to discriminate in any manner against any employee or applicant for employment because of race, age, creed, color, national origin, or gender, and shall be obligated to include a similar requirement in any and all subcontracts. The Successful Bidder shall also agree to comply with all Federal, State, and local laws and Executive Orders and Regulations relating to Equal Employment Opportunity and Minority Business Enterprises.

INDEMNIFICATION If a Contract is awarded, the Successful Bidder shall be required to indemnify, defend, and hold the County, its employees, and agents harmless from and against any and all claims, loss, liability, cost, and expenses, including attorney fees, howsoever arising or incurred, alleging personal injury, bodily injury, including death, or property damage arising out of or attributable to the Successful Bidder’s performance of the Contract awarded.

1.11

TERMINATION PROCESS 1.11.1 Termination for Convenience: Notwithstanding anything contained herein, the County may terminate this Agreement anytime, in whole or in part, without showing cause by providing thirty (30) days written notice to the Successful Bidder. The County shall pay all reasonable costs incurred by the Successful Bidder up to the date of termination. The Successful Bidder shall not be reimbursed for any anticipatory profits, which have not been earned to the date of termination. 1.11.2 The Successful Bidder shall be provided 30 days notice of any termination not for cause and shall only perform such work during the 30-day notice period that is authorized in writing by the County’s Purchasing Agent. 1.11.3 This Agreement may be terminated by the County upon at least seven (7) days notice to the Successful Bidder in the event that: (1) the Work is permanently abandoned by the County; (2) continued Work is deemed by the County, in its sole discretion, not to be in the best interests of the County; or (3) monies are no longer available or are not appropriated to fund the Work being performed or to be performed under this Agreement. 1.11.4 Termination for Cause: Notwithstanding anything contained herein, if the Successful Bidder fails to fulfill its obligation under this Agreement properly and on time or otherwise violates any provision of this Agreement, the County may terminate this Agreement by written notice to the Successful Bidder. The notice shall specify the acts or omissions relied upon as cause for termination. All finished or unfinished goods or services provided by the Successful Bidder shall, at the County’s option, become the County’s property. The County shall pay the Successful Bidder fair and equitable compensation for satisfactory performance prior to receipt of notice of termination less the amount of damages caused by the Successful Bidder’s breach. If the damages are more than the compensation payable to the Successful Bidder, the Successful Bidder shall remain liable after termination, and the County may take all steps necessary to collect damages.

OPTIONAL USE OF CONTRACT 1.12.1 The Successful Bidder reserves the right to extend all of the terms, conditions, specifications, and unit or other prices of any contract resulting from this Bid to any and all public bodies, subdivisions, school districts, community colleges, colleges, and universities, including non-public schools. This is conditioned upon mutual agreement of all parties pursuant to special requirements, which may be appended thereto. The Successful Bidder agrees to notify the issuing body of those entities that wish to use any contract resulting from this IFB and shall also provide usage information, which may be requested. 1.12.2 The County assumes no authority, liability, or obligation on behalf of any other public or non-public entity that may use any contract resulting from this IFB. All purchases and payment transactions shall be made directly between the Successful Bidder and the requesting entity. Any exceptions to this requirement shall be specifically noted in the Bid Response.

1.13

CORPORATION REGISTRATION 1.13.1 Whenever required by law, business entities not organized under the laws of the State of Maryland shall be registered with the State Department of Assessments and Taxation, 301 W. Preston Street, Baltimore, Maryland, 21201 (“SDAT”) before doing any business in this State. 1.13.2 All Bidders that are business entities shall be and present evidence that they are in good standing with SDAT.

1.14

REFERENCES TO ALTERNATE TERMS Any reference which may appear on any price list or literature to any terms and conditions, such as F.O.B. Shipping Point or Prices Subject to Change shall not be part of any Contract with a Successful Bidder and shall be disregarded by the County.

1.15

PAYMENT TERMS Invoice(s) shall contain the following information: Purchase Order Number, Item Number, description of goods or services, quantities, unit prices, and extended totals. Payment terms, unless otherwise noted, shall be net thirty (30) days. The County is not subject to retail sales, income, real estate, sales, use, transportation, or special taxes. The final payment shall be based upon acceptance of goods or services from the Successful Bidder and a final invoice submitted by the Successful Bidder and approved by the County. To receive payment for services rendered, the Successful Bidder shall submit an invoice to: Anne Arundel County, Maryland Office of Finance P. O. Box 2700 Annapolis, MD 21404 Payment shall be made electronically via ACH Transfer. The County reserves the right to deduct the total amount of any debts owed to the County from any payments issued pursuant to any resulting agreement for this IFB.

ASSIGNMENT The Contract resulting from this IFB and the compensation, which may become due thereunder are not assignable except with prior written approval of the County.

1.17

AVAILABILITY OF FUNDS The obligations of the County under any Contract awarded pursuant to this IFB are subject to the availability of funds appropriated by the County Council of Anne Arundel County, Maryland, and to receipt and availability of appropriated funds.

1.18

INTERPRETATION The Contract resulting from this Solicitation shall be construed under the laws of the State of Maryland.

1.19

INTEGRATION The IFB, the Successful Bidder’s Bid, and the County’s Purchase Order contain the entire understanding between the parties, and any additions or modifications hereto may only be made in writing executed by both parties hereon.

1.20

FAIR LABOR STANDARDS The Successful Bidder shall comply with all applicable provisions of the Federal Labor Standard Act (FLSA) and shall indemnify, defend, and hold harmless the County, its officers, employees, and agents from any and all liability, including but not limited to, wages, overtime pay, liquidated damages, penalties, court costs, and attorney’s fees arising under any wage and hours law, including but not limited to, FLSA for work performed by the Successful Bidder’s employees for which the County may be found jointly or solely liable.

1.21

CHANGES 1.21.1 The County reserves the right to add items to this Contract at the County’s sole discretion if the items meet the following criteria: 1.21.1.1 The items added are, in the County’s sole opinion, within the general scope of work established for this Contract and/or are ancillary to the successful completion of Work under the resulting Contract. 1.21.1.2 The price for each item as offered by the Successful Bidder is, in the County’s sole opinion, fair and reasonable and consistent with the pricing for the balance of the resulting Contract. 1.21.1.3 The items added are relatively insignificant to the overall value and services under the agreement.

1.22

MOST FAVORED PUBLIC ENTITY The Successful Bidder agrees that the prices charged the County under this Contract do not exceed existing selling prices to its other customers for the same or substantially similar items or services for comparable quantities under similar terms and conditions.

DAMAGE TO COUNTY FACILITIES, BUILDINGS, OR GROUNDS The Successful Bidder shall repair, or cause to be repaired, at its own cost any and all damage to County facilities, buildings, grounds, equipment, vehicles, or property caused by the Successful Bidder or employees, subcontractors, or agents of the Successful Bidder. Such repairs shall be made immediately after awareness of damage, or notice by County, but in no event more than thirty (30) days after the occurrence.

1.24

CONDITIONS FOR PURCHASING ELSEWHERE 1.24.1 Time is of the essence. Should the Successful Bidder fail to perform as specified, in accordance with the terms and conditions specified herein, the Purchasing Agent shall then have the right to procure goods and services in the open market or by contract, in which event the additional costs of such goods or services above the Contract price shall be charged against the Successful Bidder, and may be deducted from any funds payable or which may become payable to the Successful Bidder. 1.24.2 The Purchasing Agent may reject, at his or her sole discretion, any goods or services ordered from the Successful Bidder if they are delivered or performed subsequent to the placement of orders elsewhere.

1.25

1.27

BIDDER’S UNDERSTANDING OF THE SCOPE OF IFB AND DUE DILIGENCE By submitting a Bid in response to this IFB, the Bidder represents that it has read and understands this IFB, including any Addenda, and has familiarized itself with Federal, State, and local laws, ordinances, rules, and regulations that may affect the cost or performance under this IFB or any resulting Contract. 1.28

BID RESPONSE MODIFICATIONS OR WITHDRAWAL 1.28.1 A Bid Response may be modified or withdrawn by the Bidder anytime before the time and date set for the receipt of Bid Responses upon notice to the Purchasing Division in writing. 1.28.2 Modified and withdrawn Bids, clearly marked and dated, may be resubmitted to the Purchasing Division up to the time and date set for the receipt of Bid Responses. 1.28.3 No Bid Response may be unilaterally modified or withdrawn after the time set for the receipt of Bid Response and for ninety (90) calendar days thereafter.

1.29

ADDENDA TO IFB - CHANGE IN ISSUING ADDENDA **IMPORTANT NOTICE**: The Purchasing Division no longer provides written notification of addenda to solicitations. The Purchasing Agent will notify Bidders of any changes, additions, or deletions to the Specifications by addenda posted on the Anne Arundel County, Maryland, Purchasing Division's website. As of July 1, 2008, it is the potential Bidder's responsibility to frequently visit the Purchasing Division's website at http://www.aacounty.org/CentServ/Purchasing/index.cfm to obtain Addenda once they have received a copy or downloaded a copy of a solicitation. No other notification will occur. In order to receive any addenda issued less than 48 hours prior to bid opening, all Bidders

1.31

CONFLICT OF INTEREST 1.31.1 By submission of a Bid Response, Bidder agrees that it has no direct or indirect interest that would conflict in any manner or degree with performance by this IFB or any resulting contract of its services. The Bidder shall further covenant that, in the performance of any contract, the Bidder shall not employ any person or entity having any such known conflict. 1.31.2 Failure of the Bidder to provide any information requested in the IFB may result in disqualification of the Bid Response.

HEADINGS The words and phrases used in the heading of various sections and parts of this IFB are for convenience only and shall not affect the interpretation of any of the terms, conditions and requirements contained anywhere in the IFB.

1.33

IFB TEXT EMPHASIS Throughout this IFB, there may be occasional use of underlining, bolding, outsized characters or other methods of text emphasis. No remarkable difference in emphasis or relative importance of text content is intended by the use of any one method in place of another.

PARENT COMPANY If a Bidder is owned or controlled by a parent company, the name, main office address, and tax identification number of the parent company shall be provided in the Bid Response.

1.35

ASSIGNMENT AND DELEGATION Except for assignment of antitrust claim, a party to any Contract resulting from this IFB may neither assign nor delegate any portion of the Contract without the prior written consent of the other party.

1.36

ACCEPTANCE OF TERMS AND CONDITIONS By submitting a Bid Response to this IFB, the Successful Bidder accepts the terms and conditions set forth herein.

1.37

EXECUTIVE ORDER #24 Pursuant to Executive Order 24, Bidders are required to comply with all applicable laws and regulations relating to the employment of aliens. If a Bidder fails to comply with applicable laws and regulations relating to employment of aliens, such failure shall constitute a material breach of the Bidder's contractual relationship with the County and shall be grounds for termination of the contractual relationship. CONFIDENTIAL AND PROPRIETARY INFORMATION 1.38.1 All information contained in the Bid is subject to production under the Maryland Public Information Act. Each Bidder shall be responsible for identifying all information in its Bid that it considers confidential and proprietary and not subject to release to the general public for any reason by including with its Bid a separate list entitled “Confidential and Proprietary Information”. The list shall identify all such information and shall include the location of such information in the Bid, including page numbers, as well as an explanation as to why each piece of information is considered to be confidential and proprietary. All information not included on the list, even if marked as confidential or “proprietary, shall be considered public information and is subject to release on request under the Maryland Public Information Act. 1.38.2 Reasons given for considering information within a Bid Response confidential or proprietary shall be legally justifiable, which is within the sole discretion of the County. Indicating that a Bid Response in its entirety is confidential and proprietary is not legally justifiable, is not acceptable, and may be grounds for the County rejecting the Bid Response on the grounds that the Bid Response is not responsive. 1.38.3 Limitations to Liability: Anne Arundel County assumes no responsibility and no liability for costs incurred by Successful Bidder in responding to the IFB, including requests for additional information. The County assumes no responsibility and shall not be liable in any way for the release to the public of information that is contained in the Bid Response. 1.38.4 Contractor agrees to promptly provide any non-confidential information or materials required by the County to respond to such requests, to the extent required by law.

INDEPENDENT CONTRACTOR In the performance of this Agreement, the Contractor, including its employees, agents, and subcontractors, shall act solely as an independent contractor, and nothing contained in or implied by this Agreement shall be construed at any time to create any other relationship between the County and the Contractor, including employer and employee, partnership, principal and agent, or joint venturer.

SCOPE 2.1.1

These Specifications are intended to cover the provision of janitorial services to various locations throughout Anne Arundel County, Maryland as listed in Section Three and in the attached Bid Response Form.

2.1.2

All products used in connection with these services shall be safe use in the workplace. SDS sheets shall be required by the County prior to use on County premises. Successful Bidder shall arrive at work site location ready to begin work with equipment and supplies necessary to provide the specified services.

2.1.3

Work locations - Bureau of Utility Operations, Building A, 445 Maxwell Frye Rd., and the Utility Warehouse 447D Maxwell Frye Rd. Millersville, Maryland 21108. 2.2

PRE-BID CONFERENCE 2.2.1

A Pre-Bid Conference has been scheduled for Tuesday, February 16, 2016, at 10:00 a. m., local time, in the Patuxent Room, 2660 Riva Rd., 3rd floor, Annapolis, Maryland 21401, to answer questions about this IFB and the products or services to be provided hereunder. While attendance is not mandatory, all Bidders are strongly encouraged to attend. While every effort will be made to answer any questions concerning this IFB raised by potential Bidders at the Pre-Bid Conference, such answers shall be considered unofficial until affirmed in writing by the Purchasing Agent in the form of an addendum.

2.2.2

Bidders are strongly encouraged to bring any issues regarding this IFB or the equipment/services to be provided to the Pre-Bid Conference or to the attention of the County Buyer prior to the deadline as detailed in clauses 1.1.4 and 1.1.5 above.

2.2.3

Any modifications, additions, or deletions to the Specifications that result from this meeting shall be in the form of an addendum to be posted on the County’s website.

2.2.4

2.4

PURCHASE ORDER RELEASE 2.3.1

Authorization for materials to be delivered shall be by Blanket Order Release issued by the Purchasing Agent.

2.3.2

Non-Exclusivity: Nothing herein is intended nor shall be construed as creating any exclusive arrangement with Contractor. This Contract shall not restrict the County from acquiring similar, equal, or like goods and/or services from other entities or sources.

TERM OF CONTRACT This Contract shall be in effect for one (1) year beginning May 1, 2016. This Contract may be renewed up to an additional four (4) one-year periods with the same terms and conditions at the sole discretion of Anne Arundel County, Maryland. After the initial term, any one-year renewals will be subject to the availability and appropriation of County funds.

2.5

WARRANTY AND SERVICE The Successful Bidder warrants any goods furnished shall be of the highest quality, shall comply with Specifications, and shall be free from all defects in workmanship and materials for at least one (1) year. Any defective goods shall be immediately replaced free of cost to the County.

2.6

2.7

DELIVERY/INSTALLATION OF GOODS 2.6.1

Successful Bidder shall guarantee delivery of goods and services to Anne Arundel County, Maryland, between the hours of 7:00 a.m. to 3:30 p.m. or 7:30 a.m.to 4:00 p.m., local time, Monday through Friday, excluding County holidays.

2.6.2

Successful Bidder shall state the number of calendar days required to deliver each item to the County following notification of an award.

2.6.3

Successful Bidder shall provide a delivery ticket for each item delivered, marked clearly with the purchase order number issued by the County for the goods purchased and, if applicable, the name, model, and serial number.

2.6.4

All items shall be delivered F.O.B. destination and delivery costs and charges shall be included in the Bid Response. Unit prices quoted shall include delivery, all charges prepaid, and shall be exclusive of all taxes. No transportation, shipping, or handling charges shall be added to the invoice.

2.6.5

The County Purchasing Agent reserves the right to charge the Successful Bidder fifty dollars ($50.00) per working day for each day the goods or services are not delivered in accordance with the delivery schedule. The per-diem charge may be invoked at the discretion of the County Purchasing Agent, shall be considered liquidated damages, and shall be deducted from the Bid Deposit or final payment, or charged back to the Successful Bidder.

TRADE-INS This clause is deleted from this IFB.

2.9

PROCUREMENT CARD 2.8.1

The County retains the option to use the County procurement card for the purchase of supplies or services listed in the Contract in lieu of issuing a purchase order. No procurement card transaction shall take place without the authorization of the cardholder and shall not exceed the limit placed on the cardholder’s procurement card. The Successful Bidder may receive orders by phone, facsimile, or other forms of notification from authorized County employees. The Successful Bidder may process a payment in the credit card network ONLY upon shipment of supplies or performance of the services ordered by the County agency. For partial shipments or performance, the Successful Bidder may process a payment only for the amount shipped or completed and NOT for the entire amount ordered by the County agency. Upon shipment or completion of the remaining order, the Successful Bidder may process a payment request to the credit card network for the remainder of the order. The Successful Bidder may not charge the County for any fees related to the use of a procurement card.

2.8.2

For all transactions, the Successful Bidder shall have a valid W-9 form on file with the Anne Arundel County, Maryland, Office of Finance.

REGULAR DEALER Quotes shall be considered only from Bidders that qualify as a “regular dealer.” A “regular dealer” means a person or entity that owns, operates, or maintains a store, warehouse, or other establishment in which the goods required for the performance of the contract are bought, kept in stock, and regularly sold to the public in the usual course of business. To be a regular dealer, the Bidder shall engage in, as its principal business and in its own name, the purchase and sale of the goods that are the subject of this IFB.

2.10

BID DEPOSIT This clause is deleted from this IFB.

2.11

AWARD OF CONTRACT 2.11.1 The County Purchasing Agent shall award all Contracts to the lowest responsible, responsive Bidder, as determined by the County Purchasing Agent, not earlier than seven (7) days after the public opening of bids. The decision of the Purchasing Agent is final. 2.11.2 Any other considerations for the award shall be stated in the Specifications and Bid Response. 2.11.3 Anne Arundel County, Maryland, reserves the right to accept or reject any bid and to procure no or any quantity of goods or services that are the subject of this IFB, as deemed in its best interest of the County by the Purchasing Agent. After all other proper evaluation, an award shall be made on an individual item basis, or may be awarded on an aggregate item basis if an additional discount is offered for an aggregate award to the lowest responsive, responsible Bidder meeting or exceeding the requirements of this IFB.

2.12

LITERATURE AND SAMPLES 2.12.1 If requested, the Bidder shall provide three (3) copies of complete, current, and up-to-date manufacturer-published descriptive literature and specifications for the proposed goods within five (5) days of the request, giving full details as to type of goods to be furnished under a Contract.

Anne Arundel County, Maryland INVITATION FOR BID IFB NO. 16-027 JANITORIAL SERVICES – UTILITIES BUILDING A AND WAREHOUSE OFFICE 2.12.2 Samples, when requested by the County, shall be delivered to the Purchasing Division, Heritage Office Complex, 2660 Riva Road, 3rd Floor, Annapolis, Maryland, 21401, within five (5) days of the request, unless otherwise specified. All packages shall be marked “SAMPLES FOR BID NO. 16-027”. Each sample shall bear the name of Bidder and item number, and shall be carefully tagged or marked in a clear and conspicuous manner. Failure of the Bidder to deliver required samples or to clearly identify samples may be considered sufficient reason for rejection of the Bid. All deliveries under a resulting Contract shall conform in all respects with samples as submitted and accepted as a basis for the award. 2.12.3 The Purchasing Agent reserves the right to retain or destroy samples and will be free from any redress or claim on the part of a Bidder if any samples are lost or destroyed. Upon notification by the Purchasing Agent that a sample is available for return, it shall be removed by the Bidder within thirty (30) days, or the Purchasing Agent may dispose of it at the Purchasing Agent’s discretion. 2.13

INSURANCE REQUIREMENTS Unless otherwise required by Special Conditions of this Invitation for Bids, if a Contract is awarded, the Successful Bidder shall be required to purchase and maintain during the life of the Contract Commercial General Liability Insurance, Business Automobile Liability Insurance, and Workers’ Compensation Insurance with limits of not less than set forth below: 2.13.1 COMMERCIAL GENERAL LIABILITY INSURANCE At least $1,000,000 combined single limit coverage on an occurrence basis covering all premises and operations and including Personal Injury, Independent Contractor, Contractual Liability and Products and Completed Operations. 2.13.2 BUSINESS AUTOMOBILE LIABILITY INSURANCE At least $1,000,000 Combined Single Limit to include owned, non-owned, and hired vehicles. 2.13.3 WORKERS’ COMPENSATION INSURANCE Statutory benefits as required by Maryland law and, when required, the U. S. Longshoremen’s and Harbor Workers’ Compensation Act, including standard Other States coverage; Employers’ Liability coverage with limits of at least $100,000 each accident/$100,000 each employee disease/$500,000 disease policy limit. 2.13.4 On all Commercial General Liability and Business Automobile Liability Insurance policies, Anne Arundel County, Maryland, its agents, servants, and employees shall be named as an additional insureds, which shall be shown on the insurance certificates furnished to the County under this Section. 2.13.5 Professional Liability Insurance – This clause is deleted from this IFB. 2.13.6 The Successful Bidder shall provide the County with Certificates of Insurance evidencing the coverage required above. The Successful Bidder shall provide certificates of insurance before commencing work in connection with the Contract. 2.13.7 Providing any insurance required herein does not relieve the Successful Bidder of any of the responsibilities or obligations assumed by the Successful Bidder in any

Anne Arundel County, Maryland INVITATION FOR BID IFB NO. 16-027 JANITORIAL SERVICES – UTILITIES BUILDING A AND WAREHOUSE OFFICE resulting Contract or for which the Successful Bidder may be liable by law or otherwise. 2.13.8 Failure to provide and continue in force insurance as required herein shall be deemed a material breach of any resulting Contract and shall operate as an immediate termination thereof. 2.13.9 Contractor shall advise the County at fax # 410-222-7624 and by first-class, certified mail within two (2) business days of any cancellation, non-renewal, or other termination of, or any substantive change to any insurance policy providing or represented as providing the coverages mandated herein. Failure to do so shall be construed as a material breach of this Agreement. 2.14

RETURN GOODS POLICY 2.14.1 The County shall apply the following policy to returned goods throughout the term of the Contract. By its signature on the Bid, the Bidder acknowledges it has read, understood, and agreed with the following policy. 2.14.2 Returns generated by the Successful Bidder’s error, over shipment, defective merchandise, unacceptable substitution, or otherwise through no fault of the County shall be returned to the Successful Bidder with no restocking charge to the County. At the option of the County, replacement merchandise shall be shipped within fourteen (14) days of notification. The Successful Bidder shall bear all freight and delivery charges. 2.14.3 Returns of catalog stock merchandise generated by ordering error, over purchase, discontinued use, inventory reduction, or other fault of the County shall be accepted by the Successful Bidder. All catalog stock merchandise shall be unused, in the original container, and in suitable condition for resale. The Successful Bidder may assess a restocking charge of not more than twenty-five (25%) percent of the purchase price or the restocking charge noted in the Successful Bidder’s published restocking charge, whichever is less. The County shall reimburse the Successful Bidder for original freight charges, if applicable, and shall bear the freight cost of returned goods. 2.14.4 Return of catalog stock merchandise more than six (6) months after receipt by the County shall be at the option of the Successful Bidder. Restocking charges cannot exceed the Successful Bidder’s published catalog restocking fee for such returns. The County shall reimburse the Successful Bidder for original freight charges, if applicable, and shall bear the freight cost for return of the goods.

2.15

PRICE ADJUSTMENTS 2.15.1 All prices offered herein shall be firm against any adjustment for one (1) year from the effective date of the Contract. Prior to commencement of subsequent renewal terms, the County will entertain a request for price adjustments up to the Consumer Price Index in place exactly sixty (60) days prior to the renewal date. The Successful Bidder shall request all price adjustments in writing at least sixty (60) days prior to the renewal date. 2.15.2 For purposes of this Section, “Consumer Price Index” shall mean the Consumer Price Index-All Urban Consumers-Washington-Baltimore, DC-MD-VA-WV-All Items, Not Seasonally Adjusted (CPI-U), as published by the United States Department of Labor, Bureau of Labor Statistics.

If the County approves a price adjustment, the price shall remain firm for the renewal term for which it was requested. 2.15.4 In the event where the CPI is a negative value, at no time will the County adjust below current pricing. 2.16

AGREEMENT Successful Bidder shall review the attached sample agreement and note any issues it may have with the agreement. Upon notifications of intent to award, the Successful Bidder shall have an authorized person (as shown under Section 1.25) sign a similar agreement tailored to meet this IFB as part of the Contract.

2.17

PERFORMANCE, LABOR & MATERIAL BONDS This clause is deleted from this IFB.

2.18

NEGOTIATED PRICING This clause is deleted from this IFB.

2.19

EXCEPTIONS TO THESE SPECIFICATIONS: 2.19.1 When the Bid Response differs in any way from the Technical Specifications and/or requirements set forth herein, the Bidder shall explicitly describe each variance in detail in a separate written Exceptions Sheet, referencing the appropriate paragraph or Clauses to which the variance applies and shall provide this information with the Bid Response. 2.19.2 Any exceptions to these specifications referenced in any price sheet, catalog, literature, build sheets, manufacturers' specifications or any other written information included in the Bid Response that is not documented in the Bidders' Exception Sheet shall not be part of any Contract with the Successful Bidder and shall be disregarded by the County. 2.19.3 The County shall, at its sole discretion, accept or reject individually any exceptions taken to these Specifications by the Bidder as declared on the Exceptions Sheet. The Bidder shall have 48 hours after written notification (fax and/or email) by the County to remove any exceptions rejected by the County or the Bid Response shall be rejected as being non-responsive.

2.20

UNBALANCED BIDS A Bid shall be mathematically unbalanced if the Bid contains unit pricing that does not reflect reasonable costs (including actual labor and material cost, overhead and profit) for the performance of the bid item(s) in question. A Bid shall be materially unbalanced if there is a reasonable doubt that award of the mathematically unbalanced Bid will result in the lowest ultimate cost to the County. A Bid that is, in the sole discretion of the County Purchasing Agent both mathematically and materially unbalanced, may be rejected as non-responsive.

Anne Arundel County, Maryland INVITATION FOR BID IFB NO. 16-027 JANITORIAL SERVICES – UTILITIES BUILDING A AND WAREHOUSE OFFICE SECTION THREE – TECHNICAL SPECIFICATIONS 3.1

GENERAL SCOPE OF WORK 3.1.1

It is the intention of Anne Arundel County, Maryland, herein called the County, to contract for the services of a qualified janitorial service provider to provide cleaning/janitorial services at two (2) County buildings in Anne Arundel County, Maryland, as listed in this IFB. The Successful Bidder shall employ trained, reliable, quality conscious janitors and supervisors.

3.1.1

It is the objective of the County to obtain the full cleaning performance in accordance with the terms of the Specifications and the quality of work requirements in this Contract. Clean and well-maintained buildings are the County’s goals, and while deduction provisions for work omitted or improperly performed is designed to protect the County’s interest, it is not ordinarily a desirable substitute for getting the job accomplished. The County is contracting for the complete performance of each cleaning job as identified in the Specifications, and deductions will, therefore, be made as stipulated.

3.1.2

The Successful Bidder shall furnish and administer all supervision, labor, equipment, and cleaning supplies.

3.1.3

Water, electricity, hand soap, toilet paper, paper towels, toilet seat protectors, and trash can liners will be furnished to the Successful Bidder by the County as required for the satisfactory performance of work of this Contract. The County will supply feminine sanitary products and refill the sanitary product dispensers at all locations.

3.1.4

It is intended that the services include all functions normally considered a part of workmanlike, satisfactory janitorial maintenance whether or not they are specifically listed herein.

3.1.5

Services to be performed under this Contract shall be subject to inspection and approval by County representatives designated by the County Site Coordinator or the Department’s Representative. There shall be no deviations from any part of the Contract or from any approved schedule without prior written approval from the County. Deductions will be an indication that work is not being performed per the Contract Specifications. The County reserves the right to terminate this Contract for nonperformance at any time it feels such termination is warranted.

3.1.6

The County reserves the option to change required days, hours, add, or delete locations with adequate notice to Successful Bidder.

3.1.7

Successful Bidder shall provide and maintain a manual listing of all cleaning products to be used on this Contract, as well as, S.D.S. sheets for those products, sign-in sheets, timesheets, and work requirements for that location. S.D.S sheets shall be kept in the same location as the chemicals.

SAFETY MEASURES The Successful Bidder shall take all necessary precautions for the safety of their employees performing the work under this Contract. The Successful Bidder shall direct and properly maintain at all times, as required by job conditions and work progress, all necessary safeguards for the protection of the workmen and the public.

FIRE PROTECTION AND PREVENTION 3.3.1

The Successful Bidder shall comply with fire protection measures as described in the Anne Arundel County Fire Prevention Code, found in Article 15, Title 3 of County Code.

3.3.2

The Successful Bidder shall not store combustible supplies of any kind in any County building. The Successful Bidder shall consider contaminated buckets, mops, cloths, and brushes as potentially subject to spontaneous heating and shall not store such items in County buildings. All buckets shall be emptied and cleaned after each use and all used materials shall be thoroughly cleaned or properly bagged and removed from the premises.

PROTECTION AND SECURITY OF COUNTY BUILDINGS AND PROPERTY 3.4.1

The Successful Bidder shall assume full responsibility for any and all damage or claim for damage, injury to persons, property, and equipment that may result from any services performed under this Contract. The Successful Bidder shall be held liable by the County for damages caused by its employees to any equipment, apparatus, or installed property in the County facilities in which work is performed in accordance with this IFB.

3.4.2

At no time shall the Successful Bidder block open exterior doors or impede the function of their latching. The Successful Bidder or their employees shall not grant access to any persons on the exterior of the buildings who are not a member of their staff.

3.4.3

A limited number of access cards will be provided for the Successful Bidders’ access to the exterior entrances during facility lock down periods. Keys will be provided as required for access to building interior suites at time of assignment. The Successful Bidder shall be responsible for the safekeeping of building keys and return keys at expiration of the Contract. No additional keys will be furnished for locks. The Successful Bidder shall be charged for any lock-smithing services due to loss of keys.

METHOD OF PAYMENT 3.5.1

The Successful Bidder shall submit three (3) copies of invoices to the following offices, by the 15th day of each month or as soon thereafter as practicable, for services furnished the preceding month. Invoices may be emailed to the County Agency at the Agency’s discretion.

3.5.2

Rates quoted shall be exclusive of all non-applicable Federal and Maryland State taxes. A tax exemption certificate shall be furnished upon request.

3.5.3

Missed work days (other than County Holidays as listed in Clause 3.15.1 below) shall be deleted from the invoice for the month in which the missed day occurred at an evenly prorated price based on the number of work days available in that month.

CHECKLIST COMPLETION 3.6.1

The Successful Bidder shall furnish a Cleaning Service Checklist for each site based on the services required for that site.

3.6.2

Prior to leaving the facility after each work shift, the Successful Bidders’ employees shall fill out the Cleaning Service Checklist noting whether each task has been completed, signed, and dated on the form. The location to leave the checklist will be worked out with the Successful Bidder and the County Site Coordinator at the beginning of the Contract.

INSPECTIONS 3.7.1

The County Site Coordinator or designee, at their discretion shall inspect the Successful Bidder’s work to ensure that each task has been completed in a good and workmanlike manner and to the satisfaction of the County agency. The Successful Bidder’s Site Supervisor shall fill in the Cleaning Service Checklist, noting any incomplete task(s), and sign and date the form. The County Site Coordinator will review and verify the checklist. The County Site coordinator will note the date, time, and sign the checklist after inspecting, and will notify the Successful Bidders’ Site Supervisor of any deficiencies. The Successful Bidders’ Site Supervisor shall sign the checklist and note the date and time as acceptance of the deficiencies that need to be corrected.

3.7.2

On a monthly basis, a representative from the Successful Bidder who is responsible for all sites under this Contract shall meet with the County on-site representative and walk through the building to review the work and discuss any corrections needed. At the County’s sole discretion and if poor workmanship persists, these meetings shall be increased to weekly for the sites affected until such time as the County is satisfied (in the County’s sole opinion) that workmanship has improved to acceptable levels.

CORRECTIONS 3.8.1

When the Successful Bidder’s Site Supervisor is advised by the County Site Coordinator of an incomplete task, the deficiency shall be corrected by the Successful Bidder’s employees completing the task(s) in question within two (2) hours of the County Site Coordinator’s notification.

3.8.2

If the task(s) is completed in accordance within two (2) hours, the County Site Coordinator or designee will revise the Cleaning Service Checklist and the matter will be considered resolved. If the task is not completed within the two (2) hours, a $50.00 deduction per occurrence may be implemented by the County Site Coordinator.

3.10

STORAGE SPACE, JANITOR'S CLOSET AND LOCKER ROOM 3.9.1

Space available in the building will be assigned to the Successful Bidder for the storage of bulk supplies and the equipment to be used in the performance of the work of the Contract. The Successful Bidder’s employees shall keep this space in a neat and orderly condition.

3.9.2

The Successful Bidder shall be responsible for all spills caused by their employees. Spills caused by leaky trash bags or spills outside of janitor's closets shall be especially noted. When necessary, the Successful Bidder shall be responsible for the cleanup of those spills and shampoo carpets in areas needed as a result of Successful Bidder’s employee negligence. If the Successful Bidder does not correct the spill to the satisfaction of the County, the County reserves the right to hire another contractor to correct the spills. The cost to hire the additional contract will be deducted from the Successful Bidder’s monthly invoice.

CLEANING CHEMICAL PRODUCTS & SUPPLIES 3.10.1 The County requires that the Successful Bidder use good quality products. The products used under this Contract shall be approved prior to use during the Contract. The Successful Bidder shall supply a list of all products to be used and SDS sheets for all chemicals to be used in County Buildings while providing this Contract’s services. The Bidder shall include SDS sheets with the Bid Response for products known to be used by the Bidder for these services. 3.10.2 The Successful Bidder shall furnish all equipment, materials, and cleaning supplies not provided by the County. Water, electricity, hand soap, toilet paper, paper towels, toilet seat protectors, and trash liners will be furnished to the Successful Bidder by the County as required for the satisfactory performance of the work of this Contract.

3.11

SPECIAL EQUIPMENT REQUIREMENTS 3.11.1 Successful Bidder shall provide floor vacuums compliant with the following minimum Specifications and provide the County with validation of compliance. The vacuum system’s minimum requirements include filtration efficiency capable of trapping 99% of contaminants as small as 0.3 micron. The Successful Bidder shall comply with the manufacturer's specifications for filter bag replacement and follow the manufacturer's recommendation for filter change frequency. 3.11.2 Successful Bidder shall furnish supplies meeting the Specifications as detailed in Section 3.10 and 3.11. These supplies and equipment include, but are not limited, to the following: •

QUALIFICATION OF BIDDERS 3.12.1 All Bidders will be investigated as to organization, ability to perform, and experience. The right is reserved to reject any Bid Response where such investigation does not satisfy the County. Previous performance on County contracts will be considered in determining the reliability of the low Bidder. The decision of the Purchasing Agent shall be final. 3.12.2 Bidder shall meet the requirements below in order to be considered for an award of Contract: •

Bidder shall have a satisfactory record of past performance. Past performance on County contracts will be considered as well as reference recommendations.



Bidder shall have successfully performed contracts similar in nature and dollar value within the past three (3) years. Bidder shall provide a list including contact information of three (3) most recent contracts of same scope and size within the past three (3) years. Failure to do so may be cause for rejection of the Bid Response.



Bidder shall have been in business under the same business name for a period of not less than three (3) years.



The Bidder shall submit references other than the County.



Bidder shall have the ability to obtain background investigations on their employees at no additional cost to Anne Arundel County. Refer to Section 3.14.

LABOR AND WAGE REQUIREMENTS 3.13.1 The Successful Bidder shall be responsible for the payment of all salaries, wages, bonuses, Social Security, Worker’s Compensation, taxes, Federal and State Unemployment Insurance, and any and all taxes relating to the personnel furnished under this Contract. 3.13.2 The Successful Bidder shall be responsible for withholding State and Federal Income Taxes and F.I.C.A. Taxes shall also comply with all other laws relating to employees, such as wage and hourly laws, safety and health requirements, and collective bargaining laws. 3.13.3 Minimum Wage - In the absence of a minimum wage schedule attachment for the Contract the Successful Bidder shall pay employees performing work under this Contract not less than the minimum wage set by the U. S. Department of Labor for the applicable job classification in effect at time of performance.

3.14

BACKGROUND INVESTIGATIONS 3.14.1 Background checks shall be conducted for each employee assigned to this Contract and shall comply with all applicable Federal, State, and local laws, ordinances, codes, and regulations in performing the Services, including, without limitation, the Fair Credit Reporting Act (15 U.S.C. § 1681 et. Seq.) (as amended by the Fair and Accurate Credit Transaction Act) (“FCRA”), the Gramm-Leach-Bliley Act (15 U.S.C. §6801 et. Seq.)(“GLB”), the Federal Drivers Privacy Protection Act (18 U.S.C. §2721 et seq.)(“DPPA”), Title VII of the Civil Rights Act of 1991, and the Fair Labor Standards Act. The level of background checks shall consist of the following criteria: *Search for a complete residence history *Confirm or locate Date of Birth *Locate others living at or associated with their residence *Maryland County Level Criminal History Search *U.S. Bureau of Prisons Search *Maryland Sex Offender History *Maryland Incarceration History Search *Identify Aliases used 3.14.2 Background checks shall be repeated for each employee assigned at the commencement of each Contract renewal period unless a new employee has been investigated within thirty (30) days prior to the end of the previous Contract period and is deemed acceptable. The Successful Bidder shall provide confirmation at the beginning of the Contract that all Successful Bidder’s employees working at County locations have received favorable background investigations. 3.14.3 THE SUCCESSFUL BIDDER SHALL NOT ASSIGN ANY INDIVIDUAL TO THIS CONTRACT NOT PASSING THE ABOVE-MENTIONED BACKGROUND CHECK. 3.14.4 The Successful Bidder reserves the right to seek exception to the above guidelines governing acceptability for assignment to the facility by providing documented specifics

The County will, at its sole discretion, accept or reject the requested exception. 3.14.5 The Successful Bidder shall confirm all background checks by submitting the Criminal Background Investigation Confirmation Form (See Appendix A) for each employee assigned to this Contract. The form shall be completed and submitted to the County’s Facility Maintenance Division upon the start of each Contract term – startup and renewals; whenever an employee assigned to the Contract terminates employment with the Successful Bidder; or when a newly hired employee is assigned to the Contract. Failure to do so may be cause for termination of this Contract. Submittals shall be no later than thirty (30) from the beginning of the term of the Contract (startup or renewals). 3.15

CONDUCT OF WORK AND EMPLOYEES’ RESPONSIBILITIES 3.15.1 At no time during the course of cleaning activities, shall the Successful Bidder leave lights turned on in non-common areas that are unoccupied upon their departure from the space. Non-common areas are defined as, but not limited to, individual offices, conference rooms, copy rooms, and storage rooms (interior walled offices or rooms that are specifically served by an individual light switch). As each room is completed, all lights shall be extinguished. Prior to leaving the building and/or completed section of building, it shall be the responsibility of the Successful Bidder to close and lock all windows, extinguish all lights, except as otherwise directed and to securely fasten and/or lock all doors. Once trash has been disposed of in the dumpsters, employees shall ensure the gates to the containment area are closed and latched. Employees may be required to set alarms at some locations. This information shall be provided to the Successful Bidder prior to commencing work. 3.15.2 The Successful Bidder shall: 3.15.2.1

Provide a listing of all the cleaning products to be used as well as the corresponding S.D.S. sheets for those products. This listing of products and S.D.S. sheets shall be provided to the County with the Bid Response. Bidder shall also provide a sample sign in sheet and timesheet. All samples should be submitted with the Bid Response.

3.15.2.2 Require all their employees to wear a badge with photo identification and uniform stating the company name and individual worker’s name as identification for admittance into the building and as means of identification during the time their employees are in the building. This is mandatory. 3.15.2.3 Assure that neither the Successful Bidder’s employees disturb papers on desks, open drawers in any desks or other furniture, use County telephones or any other County equipment or appliances in the building (such as radios, coffee pots, microwave ovens, or televisions), or use equipment or appliances belonging to County employees.

All employees shall sign in and sign out in the facility's security log book upon entering and leaving the building. Sign in and sign out shall be in accordance with the set schedule agreed upon by both the Successful Bidder and the County. Copies of log-in sheets shall be submitted with the Successful Bidder’s invoice. 3.15.2.5 Shall carefully screen, train, and supervise each employee providing services under this Contract. Employees shall comply with all requirements as stated under Section 3.16 Personnel Requirements of this IFB. All employees shall be able to communicate and take oral and written direction in English with no exceptions. 3.15.2.6 Shall report promptly to the County Site Coordinator any building deficiencies such as leaky faucets, stopped toilets or drains, broken fixtures, and any unsafe conditions. 3.15.2.7 The County may require the dismissal of any employee who the County determines, at its sole discretion, as incompetent, careless, insubordinate, or who violates any governmental law, rule, or regulation in a County facility. Additionally, the County may require the reassignment of any employee whose continued employment is contrary to consistently good relationships with tenants. The County may require, at its sole discretion, reassignment and restricted access of any employee the County believes may be a security risk. 3.15.2.8 The County, at its discretion and authority, may require the departure from the premises of any employee(s) found to be noncompliant with uniform and badge requirements as set forth in this Contract. Non-compliance may result in a $50.00 deduction per day, per employee. 3.15.2.9 The Successful Bidder shall conduct background checks on current employees and replacement employees in accordance with Section 3.14. The Successful Bidder shall confirm all background checks by submitting the Criminal Background Investigation Confirmation Form per the attachment referenced Appendix A. 3.15.2.10 While performing services under this Contract, the Successful Bidder’s employees shall not use illegal drugs or alcohol, or be under the influence of illegal drugs or alcohol. 3.15.2.11 Conduct of Work Qualifications Successful Bidder shall provide the following: •

Performance - Successful Bidder shall assume all administrative and supervision responsibilities for own staff and ensure all work performed is of high quality in accordance with good practices, procedures, and industry standards. The Successful Bidder shall

3.16

Safety Measures - The Successful Bidder shall take all necessary precautions for the safety of the employees performing the work under this Contract. The Successful Bidder shall direct and properly maintain at all times, as required by job conditions and work progress, all necessary safeguards for the protection of workmen and the public.

3.15.3.12

Successful Bidder’s employees shall not have family members or nonemployees present at the assignment location.

3.15.3.13

Successful Bidder employees shall vacate the County premises promptly upon completion of the assignment.

PERSONNEL REQUIREMENTS 3.16.1 All employees of the Successful Bidder shall be required to have an INS-9 form on file available to the County upon request. The County reserves the right to request to examine the files for employees’ Social Security numbers. 3.16.2 Successful Bidder shall provide for the County a registry of employees approved and assigned to work at the work site locations and ensure the registry is updated prior to new employee assignments. 3.16.3 In the absence of a minimum wage schedule attachment for the Contract, the Successful Bidder shall pay the employees performing work under this Contract not less than the minimum wage set by the U.S. Department of Labor for the applicable job classification in effect at the time of performance.

3.17

WORK STANDARDS The Successful Bidder shall perform each work task in accordance with the Standards listed below: 3.17.1 Maintain Carpeted Floors and Rugs When maintaining carpets and rugs, the Successful Bidder shall clean carpet, rugs, carpet runners, and carpet mats. The Successful Bidder shall vacuum to remove most soil and surface dust. For spot cleaning, the Successful Bidder shall use spot cleaning procedures such as bonnet cleaning and dry foam methods when these will thoroughly remove all streaks, stains, and spots. The Successful Bidder shall clean spots as they are encountered and shall not wait for the County to point them out. When spot cleaning methods are not sufficient or appropriate, the water extraction method shall be used. In addition, the Successful Bidder shall use the water extraction method after a carpet or rug has been dry foam cleaned three (3) consecutive times. Aluminum discs or stiff, heavy neutral color or white paperboard shall be placed under the legs of furniture or other equipment to avoid staining the carpet until the carpet is thoroughly dry. The Successful Bidder shall remove

The Successful Bidder shall use anti-static chemicals in the complete process of cleaning carpets in rooms containing electronic equipment. All furnishings shall be replaced to their original position upon completion. 3.17.1.1 Vacuuming The Successful Bidder shall vacuum carpeted floors and rugs with a commercial vacuum cleaner to remove all surface litter, dust, foreign substances, and embedded grit from surfaces including those adjacent to and under furniture, fixtures, trash cans, entrance mats, runners, in corners, abutments, baseboards, stair steps and risers, and on hard surface floors, stairs/landings, stages, and elevators. Carpeted floors and rugs including floor runners, area rugs, carpet entrance mats, and installed carpet. When gum, tar, or other foreign substance is encountered, an appropriate gum remover or spot cleaning method shall be used. After they have been vacuumed, the carpeted floors and rugs shall be free of all detectable soil, embedded grit, litter, and spots. 3.17.1.2 Bonnet Cleaning System for Carpets The Successful Bidder shall use the bonnet system for spot cleaning carpet as needed or as requested to maintain a clean, high-level appearance. Pre-spotted soil is loosened by the rotary action of the rotary machine fitted with a brush and bonnet and soil is absorbed by the bonnet. After they have been spot cleaned with the vacuum bonnet method, the carpeted floors shall be free of detectable soil and spots. 3.17.1.3 Dry Foam Carpets The Successful Bidder shall use the dry foam system to dry clean carpet as needed or as requested to maintain a clean, high-level appearance. Dry foam tends to leave residual chemical in the carpet, as the foam is not as readily vacuumed up as the water in hot water extraction. Accordingly, the Successful Bidder shall select only those chemicals that do not leave sticky or gummy residues and shall exercise care to remove residue from carpet when using this method. After they have been dry-foam cleaned, the carpeted floors shall be free of detectable soil and spots. 3.17.1.4 Extraction Water extraction cleaning of carpets consists of spot cleaning, vacuuming, operation of the water extraction equipment, and re-vacuuming of all carpet. Extraction shall be done using equipment, materials, and chemicals specifically designed for water extraction cleaning. The water extraction equipment shall be operated over the entire carpeted area. The instructions provided by the manufacturer of the equipment and the chemicals shall be followed. After operating the equipment and allowing sufficient drying time, the carpet shall be vacuumed following a pattern that will give the carpet pile a uniform

Upon completion of water extraction cleaning, carpets shall be free of litter, materials such as paper clips and staples, soil, streaks, stains, spots, and embedded dirt; the pile shall be uniform; all furnishings shall be returned to their original positions. Certain carpeted areas may require extraction more frequently than others due to different soiling rates, i.e. outside doorways require more extraction than office areas. The work shall be accomplished as directed by the County. 3.17.2 Non-Carpeted Floors 3.17.2.1

Sweep The Successful Bidder shall sweep all non-carpeted floors by removing all soil, including dust, dirt, litter, gum, tar, and other substances, from all noncarpeted floor surfaces including those adjacent to and under furniture, fixtures, trash cans, entrance mats, runners, in corners, abutments, baseboards, stair steps and risers, and on hard surface floors, stairs/landings, stages, and elevators. All floors, including areas beneath movable objects smaller than desks or filing cabinets, shall be swept. The entire floor surface, including in corners and around wall projections, shall be left clean and free of all soil, streaks, footprints, and spots caused by spills.

3.17.2.2

Dust Mop The Successful Bidder shall dust mop all non-carpeted floors except stair steps and landings and other unsealed concrete floors or stone floors. The Successful Bidder shall return to original positions all furniture and equipment moved during sweeping.

3.17.2.3

Machine Scrub The Successful Bidder shall machine scrub floor surfaces that have soiling which cannot be removed through wet mopping. The Successful Bidder shall machine scrub floors, when required, using a neutral cleaner. Apply an appropriate cleaning solution to all areas of the floor. Allow this solution to remain on the floor for three (3) or four (4) minutes. Operate a floor machine over all accessible floor areas and areas that can be reached by moving furnishings. Manually scrub areas that are inaccessible with the machine. Remove the solution from the floor and rinse well with water. Care shall be taken not to leave water or scrubbing solution on the floors longer than necessary to complete the cleaning. Dirty water shall be picked up and the floor shall be rinsed clean until it is free of all solution. Wet Floor signs shall be placed on the floor around the wet area to alert any person in the immediate area. After scrubbing floors, all floor surfaces and grout shall be free of soiling, marks, stains, and free of chemical residue. In the event machine scrubbing is required, the work shall be performed on a weekend.

Spray Buff/Restore Vinyl Tile The Successful Bidder shall spray buff all surfaces of vinyl-tiled floors with a floor machine, accessories, and spray buff chemical. Before buffing, the floor shall be swept; heel marks and other marks shall be removed. The floor surface shall be wet mopped and rinsed. The floor finish in the spray buff chemical shall be the same type as that already on the floor. After buffing, the floor shall be swept with a treated cotton mop. For difficult or stubborn areas, a small floor machine shall be used or the surface worked by hand. Chairs and other readily moveable items shall be moved. All spray buff solution shall be removed from baseboards and furniture. Upon completion of spray buffing, the entire floor shall have a uniform coating of floor finish and uniform, glossy appearance, be free of scuffmarks, heel marks, and stains, and all furnishings shall be replaced in their original positions.

3.17.2.5

Strip/Seal/Wax The Successful Bidder shall completely strip, seal, and wax the floors when the floor becomes dull or unsightly. Stripping is the complete removal, without damage to the floor surface, of all finish and sealer from all visible floor surfaces and from those floor surfaces that can be exposed by the removal of all non-fixed furnishings. Stripping also includes the complete removal of all marks, cuffs, and stains. The Successful Bidders’ stripping chemicals shall comply with the Specifications for the type of finish and sealer being stripped, and shall be in accordance with the manufacturer’s directions. All floor surfaces to which stripper has been applied shall be thoroughly rinsed with clean water. If a mop is used to pick up the stripping solution, the area shall be rinsed at least twice. No stripping solution shall remain on baseboards, cove moldings, doors, or other non-floor surfaces. The Successful Bidder shall strip the floor with an auto scrubber and stripper. A finish shall be used on all floor coverings cleaned according to Specifications. Non-slip properties of the floor finish are especially important in stairwell areas. The wax shall be applied to the floor surfaces with a clean finish or blend mop only after the floor surfaces have been thoroughly cleaned by mopping, scrubbing, or stripping. An application of three (3) coats of wax and sealer shall be required. The application of excessive amounts of wax shall be avoided and excessive buildup of wax shall not be permitted. Sufficient wax shall be used to fully protect the floor surface and present a uniform luster and neat, well-kept appearance. After the finish has dried, the reflectance shall be uniform with no streaks or swirls visible. When inspection shows a buildup of wax or other deposits of foreign materials, or wax over dirt, the Successful Bidder shall strip the surface clean and apply new wax. When inspection shows a wax buildup in corners, edges, or flashed on cove moldings or stainless steel kick plates, the Successful Bidder shall remove the wax buildup. All furnishings shall be replaced to original positions. In the event floor stripping, sealing, and waxing is requested, the work shall be performed on a weekend.

Wet Mop Non-Carpeted Floors The Successful Bidder shall wet mop non-carpeted floors by applying a water/detergent solution to loosen and suspend soil, removing the soil, and rinsing the floor surface. Before mopping, the Successful Bidder shall sweep the entire floor surface and move all furniture smaller than desks or filing cabinets. The Successful Bidder shall remove all soil and stains from the entire area including stairs. Restrooms, kitchens, and coffee rooms shall be wet mopped with germicidal detergent solution. Upon completion of wet mopping, the floor shall have a uniform appearance with no streaks, swirl marks, detergent residue, or any evidence of soil. There shall be no splash marks or mop streaks on furniture, walls, or baseboards; nor mop strands remaining in the area. All furnishings shall be replaced to original positions.

3.17.3 Building Surfaces Maintenance Building surfaces include interior and exterior glass doors, hardware, walls, partitions, trim, handrails, stair rails, balusters, baseboards, frames, windowsills, ledges, mirrors, grills, restroom fixtures, and other horizontal surfaces. 3.17.3.1 General Cleaning The Successful Bidder shall thoroughly clean, sanitize, and polish areas within designated facilities, including all washable surfaces of walls, partitions, columns, glass surfaces, doors, door hardware, door glass, elevators, stairways, hand railings, mirrored surfaces, furniture, fixtures, and appliances. The Successful Bidder shall employ appropriate cleaning techniques and use commercial-grade products and equipment to ensure a first-class professionally maintained appearance. The Successful Bidder shall use germicidal detergent in restrooms, locker rooms, food areas, and drinking fountains. The Successful Bidder shall clean Plexiglas faces with a soft cloth and wood polish, using no water or detergents. Upon completion of general cleaning, all surfaces shall be free from soil, smudges, fingerprints, gum, marks, or streaks. General cleaning is not spot cleaning; rather, total surface areas within a building shall be cleaned. 3.17.3.2 Cleaning/Disinfecting Properly cleaned and disinfected doors, walls, partitions, trim, baseboards, handrails/stair rails, frames, windowsills, ledges, and horizontal surfaces including their component parts, shall be clean and free from all dirt, dust, film, streaks, smudges, lint, and cobwebs. Restroom/locker room wainscots, stall partitions, doors, and walls shall be free from stains, graffiti, spots, streaks, and cobwebs. Items that state, “disinfect” are considered disinfected when the Successful Bidder uses a liquid or spray product identified as a disinfectant and applies the product in accordance with the manufacturer’s instructions, using a clean sponge, wash cloth, or disposable wipe.

Anne Arundel County, Maryland INVITATION FOR BID IFB NO. 16-027 JANITORIAL SERVICES – UTILITIES BUILDING A AND WAREHOUSE OFFICE 3.17.3.3 Damp Wiping A surface adequately damp wiped is free of dirt, dust, marks, film, streaks, smudges, lint, cobwebs, and debris. 3.17.3.4 Spot Cleaning A smaller surface area within a total surface area is adequately spot-cleaned when it is free of all stains and deposits and is substantially free of cleaning marks. 3.17.3.5 Dusting (regular) Dust includes all surfaces up to and including six (6) feet from the top of the floor surface. The Successful Bidder shall accumulate and remove dust, dry soil, lint, litter, and cobwebs from the height of six (6) feet and below to the floor surface. This includes, but is not limited to the structure, furniture, and equipment surfaces, horizontal, vertical and under surfaces, corners, crevices, moldings, and ledges. In the process of dusting a desk, items on top of the desk such as letters, forms, literature, etc., shall not be disturbed. Upon completion of dusting, all surfaces five (5) feet from the top of the floor surface and below shall be uniformly clean and free of dust, dry soil, lint, litter, and cobwebs. 3.17.3.7 High Dusting The Successful Bidder shall accumulate and remove dust, dry soil, lint, litter, and cobwebs from all surfaces including vents above floor level. Ceiling vents shall be thoroughly dust-free. After high dusting, surfaces shall be uniformly clean. Included in high dusting, but not limited to, are light fixtures, globes, shades, plastic type panels, blinds, and ceiling surfaces as well as any atrium areas. 3.17.3.8 Reducing Airborne Dust In areas where airborne dust cannot be tolerated, such as computer rooms, clean rooms, data processing rooms, electronics rooms, telephone equipment rooms, and other areas containing precision equipment, dusting shall be accomplished with a vacuum cleaner equipped with non-conductive type nozzles and brushes. 3.17.3.9

Glass and Mirror Cleaning Glass surfaces include windows and mirrors, all display cases and cabinets, building directory board enclosures, picture frame enclosures, and glass panels within or adjacent to interior and exterior doors. Glass and mirrors are properly cleaned when all accessible surfaces are without streaks, film, smudges, deposits, and stains and have a uniformly bright appearance and adjacent surfaces have been wiped clean. Frames, casings, sills, and ledges shall be free of soil, dirt, tape, tape residue, smudges, or splash marks.

Anne Arundel County, Maryland INVITATION FOR BID IFB NO. 16-027 JANITORIAL SERVICES – UTILITIES BUILDING A AND WAREHOUSE OFFICE Splashed glass cleaner, drip marks, and all other types of soil streaks shall be removed from all adjacent surfaces such as walls, frames, casing, and trim. 3.17.3.10 Blinds Successful Bidder shall clean blinds, including tapes and cords, to remove all dust, stains, soil, and smudges. Care shall be taken to prevent staining tapes or cords during the cleaning operations. Blinds removed for cleaning shall be replaced immediately upon completion of the cleaning operations; they shall never remain down for more than forty–eight (48) hours. Upon completion of cleaning blinds, the blinds, tapes, and cords shall be free of dust, stains, soil, and smudges and the blinds shall be placed back into the locations from which they were removed. 3.17.4 Metal Cleaning and Polishing 3.17.4.1

A properly cleaned and polished metal surface shall be clean and bright and without deposits or tarnish. Metal cleaner shall be quickly removed from adjacent surfaces. Metal cleaner and polish shall be applied by cloth to surfaces being cleaned or polished and not sprayed directly on metal surfaces in order to reduce any slip hazard caused by such agents drifting onto floors.

3.17.4.2

The Successful Bidder shall remove tarnish, clean, and polish: brass, stainless steel, and nonferrous metal push plates, kick plates, door hardware, nameplates, protective and ornamental plates and flanges, railings, furniture, fixtures, and similar items. Metal polish shall be applied by cloth to surfaces being cleaned or polished and not sprayed directly on metal surfaces in order to reduce any slip hazard caused by such agents drifting onto floors. Upon completion of polishing metal, all metal surfaces shall be free of dust, soil, smears, tarnish, smudges, streaks, stains, and excess polish; and they shall be clean and bright.

3.17.5 Trash/Recycling Removal All trash/recycling containers shall be emptied and returned to their original positions. Bulky items such as: rolls of blueprints or cardboard boxes shall be placed in the recycling dumpsters. Plastic bags (liners) shall be replaced in all trash/recycling containers after each servicing. Trash/recycling shall be emptied into a designated dumpster or receptacle in a way that will prevent littering adjacent areas. Successful Bidder shall clean up any spill or litter generated by Successful Bidders’ work operations. Upon completion of trash/recycling removal, all containers in the areas adjacent to the containers shall be free of trash, spills and foreign substances. 3.17.6 Clean Ash Receptacles Sand urns and other ash receptacles shall be emptied and wiped clean. Accumulations of ashes, butts, and foreign material shall be removed from smoking stands and sand urns. Successful Bidder shall replace discarded sand. Upon completion of this task, all surfaces of ash receptacles shall be uniformly clean, without spots, streaks, or smoking material

Although the facilities for which the Successful Bidder provide custodial services have been designated “non-smoking” facilities, ash receptacles are provided at building entrances to provide a means for smokers to discard smoking products before entering. 3.17.7 Restrooms A properly cleaned restroom shall be uniformly clean and sanitized with no streaks, smudges, deposits, or stains (includes locker rooms and showers where present). Successful Bidder shall use quaternary ammonium germicidal detergent to clean and disinfect all surfaces of restrooms except mirrors. Successful Bidder shall de-scale toilet bowls and urinals. After de-scaling, the entire surface shall be free of streaks, stains, scale, scum, detergent residue, mineral deposits, and stains. Acid type bowl cleaner shall not be used on floors, walls, or any surfaces other than inside toilet bowls and urinals. Trash shall be removed; all surfaces of restrooms shall be disinfected and there shall be no streaks, stains, marks, detergent residue, dirt accumulations, mold, fungus, mineral deposits, or soiling on any surface; and dispensers shall be filled. 3.17.7.8

Clean and disinfect all surfaces of partitions, stalls, stall doors, and wall areas adjacent to wall-mounted lavatories, urinals, and toilets. Cleaning shall include wall tiles requiring the grout to be scrubbed as needed to remain clean.

3.17.7.9

Damp clean and disinfect all interior and exterior surfaces of toilet bowls, urinals, lavatories, baby changing stations, showers, showerheads, dispensers, soap dishes, and other such surfaces. Note – showers and showerheads may not be a requirement at all locations Properly cleaned and

Disinfecting Successful Bidder shall use quaternary ammonium germicidal detergent to clean and disinfect all surfaces of kitchens and coffee rooms, including cabinets, basins, countertops, tables, walls, dispensers, all exterior surfaces of appliances, and all floor surfaces.

3.17.8.10 Final Appearance Upon completion of cleaning and servicing kitchens and break rooms, trash shall have been removed; all surfaces shall be disinfected and there shall be no streaks, marks, detergent residue, dirt accumulations, or soiling on any kitchen or coffee room surface; and dispensers shall be full. 3.17.9

Drinking Fountains Successful Bidder shall remove all soil, mineral deposits, streaks, and smudges from the drinking fountains and cabinets, and disinfect all porcelain and metal surfaces including the orifice and drain. Successful Bidder shall remove soil and dust from air vents. Upon completion of cleaning drinking fountains, the entire drinking fountain shall be cleaned, disinfected, and free of any soil, mineral deposits, streaks, detergent residue, and debris.

3.17.10

Entrances (Including Atrium Areas) Porches, platforms, docks, ramps, steps, and risers of entrances shall be cleaned and policed for the removal of dirt, mud, trash, and litter. Successful Bidder shall clean the exterior walls in entrance areas. Successful Bidder shall also clean items such as mats, surfaces under mats, and foot scrapers. All glass doors and glass panels adjacent to glass doors shall be cleaned. Upon completion of cleaning entrances, all entrance surfaces and entrance mats shall be clean and free of any soil, streaks, and debris, and mats shall be replaced to their original positions.

3.17.11

Custodial Storage Space and Storerooms Successful Bidder shall clean custodial storage spaces to the same standards as described in Section 3.9. In addition, the Successful Bidder shall leave an extra supply of toilet paper, hand towels, hand soap, and both large and small plastic bags adequate to prevent depletion of these supplies in the facility before the next routine servicing. Successful Bidder shall store these supplies and any Successful Bidder furnished items in an orderly and safe manner, insuring proper ventilation of cleaning materials. Upon completion of cleaning and restocking custodial storage spaces, all storage space surfaces shall have been disinfected with no detectable streaks, marks, detergent residue, dirt accumulations, or soiling; and storage spaces shall be adequately stocked with supplies.

3.17.14

Site Specific Requirements

3.17.14.1 A minimum of one (1) staff will be on duty eight (8) work hours per day, Monday through Friday, excluding the County Holidays listed in the contract, 7:00 a.m. to 3:30 p.m. or 7:30 a.m.to 4:00 p.m. 3.17.14.2 Work also includes cleaning the Warehouse Office and Bathroom at the opposite end of the Utilities Complex one (1) time per week. 3.15.14.3 Unit pricing as bid shall include both locations. 3.18

Anne Arundel County, Maryland INVITATION FOR BID IFB NO. 16-027 JANITORIAL SERVICES – UTILITIES BUILDING A AND WAREHOUSE OFFICE Sample AGREEMENT FOR SERVICES (do NOT complete at this time)

THIS AGREEMENT, made this _______ day of __________________ , 2016, by and between Anne Arundel County, Maryland (the “County”), and (the “Contractor”). WHEREAS, the County issued (IFB/RFP number and title) , a copy of which is attached hereto as Attachment A and is incorporated herein and made a part hereof; WHEREAS, copies of the Contractor’s technical proposal, if any, and cost proposal are attached hereto as Attachment B; WHEREAS, having completed the Procurement process in accordance with Attachment A and the Anne Arundel County Code, the County is awarding the resulting contract to the Contractor; and WHEREAS, it is the purpose of this Agreement to describe the formal rights and obligations of the parties; NOW, THEREFORE, WITNESSETH that, for the consideration herein indicated, and in consideration of the mutual promises and covenants set forth in this Agreement, the Contractor and the County agree as follows: 1. The Contractor shall perform services described and outlined in Attachments A and B to this Agreement, which are incorporated herein and are made a part hereof (the “Work”). 2. The County and the Contractor shall have all rights and obligations set forth in Attachments A and B. 3. The County shall pay the Contractor up to for Work performed under this Agreement in accordance with the fee schedule set forth in Attachment B to this Agreement. 1. The Contractor certifies that this Agreement has been duly authorized and approved by all required organizational action of the Contractor. 2. The person executing this Agreement on behalf of the contractor certifies that he or she has the legal and organizational authority to do so. IN WITNESS THEREOF, the parties hereto have executed this Agreement as of the day and year first above written.
