AIRASIA-CITI GOLD VISA AND PLATINUM VISA CO-BRANDED CREDIT CARD (WITH EFFECT 15 MARCH 2016) TERMS AND CONDITIONS 1.

These terms and conditions (“Terms and Conditions”) will apply in conjunction with the Citibank Card Terms and Conditions (“Citibank Card Terms and Conditions”) and all terms and conditions will apply here to the Gold Visa and Platinum Visa Co-branded Credit Card. All the expressions here have the same meanings as stated in the Citibank Card Terms and Conditions except where the context requires otherwise or where expressly stated to the contrary. “AirAsia” means AirAsia Berhad (Company No. 284669-W) and/or any of its subsidiaries, affiliates and joint venture companies. “AirAsia Points” means the points awarded to Cardmembers in respect of all expenditure charged to the Cobranded Credit Card (except expenditure which is not eligible for AirAsia Points, as may be determined by Citibank) which may be used by the Cardmembers to redeem AirAsia Products and Services. “AirAsia Points Program” means the program under which Cardmembers are entitled to certain benefits as determined by Citibank and/or AirAsia Berhad (Company No. 284669-W) in respect of purchases made with the Co-branded Credit Card. “AirAsia Products and Services” means flights, products and/or services available for purchase by the public at www.airasia.com. “Cardmember” means the holder of Gold Visa and Platinum Visa (defined below) and includes both principal and supplementary cardmembers unless stated otherwise. “Co-branded Credit Card” means credit card (principal and/or supplementary) issued by Citibank, which included the cards printed, all with AirAsia logo and/or any other name, logo and/or trademark of Air Asia as may be determined by Citibank. “Gold Visa” means, for the purposes of these Terms and Conditions, Gold Visa Co-branded Credit Card issued by Citibank. “Platinum Visa” means, for the purposes of these Terms and Conditions, Platinum Visa Co-branded Credit Card issued by Citibank.

2.

The AirAsia Points Program is opened to Cardmembers: (a) with valid and good credit standing; (b) has not defaulted in payment; (c) has not exceeded the credit limit; (d) is not a bankrupt; (e) whose Gold Visa and/or Platinum Visa has/have not been blocked, suspended or terminated by Citibank; and/or (f) who has not or is not suspected to have committed any fraudulent or unlawful acts in respect of any Credit Card, facilities or services granted by Citibank, including Citibank Online, accessible via the Website, as defined below.

2.1

Subject to Clause 2.2 below, Cardmembers are not entitled to participate in any other reward programs offered by Citibank with respect to the credit cards issued by Citibank other than the Co-branded Credit Card unless Citibank determines otherwise.

2.2

Cardmembers are however allowed to participate in the Citibank Rewards Program for AirAsia-Citi Gold and Platinum in accordance to the Citibank Rewards Program terms and conditions. Unless amended and supplemented in these terms and conditions, the clauses in The Citibank Rewards Program Terms and Conditions will govern the Cardmembers’ entitlement to earn and redeem Citi AirAsia Points. The Citibank Rewards Program Terms and Conditions is accessible via www.citibank.com.my.

2.3

Holders of credit cards issued by Citibank other than the Co-branded Credit Card are not entitled to participate in the AirAsia Points Program, unless Citibank determines otherwise.

3.

Cardmembers are entitled to the following benefits under the AirAsia Points Program:

*The maximum AirAsia Points in a 12-months period commencing from and including the date the Cobranded Credit Card of the Cardmember is issued and each following 12-months period is capped at 180,000 AirAsia Points for Platinum Visa and 120,000 AirAsia Points for AirAsia Gold respectively. Fraction of any AirAsia Points in each tier will be excluded in the AirAsia Points given to the Cardmembers. Example of total AirAsia Points a Cardmember can earn for a particular month, assuming the Cardmember’s monthly total spend are respectively RM 6,500 for Platinum Visa and RM 3,000 for Gold Visa: Card Type

3.2

Subject to Clauses 16 and 17 below, there is no expiry date on AirAsia Points earned.

3.3

Cardmembers are entitled to the following promotions: (a) Citi World Privileges (CWP), which consists of discounts & privileges at selected Citibank merchants’ outlets; and (b) Mass usage offers which consists of promotions, contests and marketing campaigns which apply to all Citibank credit cards.

4.

Cardmembers are also entitled to the following additional benefits subject to Clause 2 above:

Platinum Visa or Gold Visa Cardmember is entitled to receive the Additional Benefits provided that such Cardmember achieves a minimum annual spend (“Annual Spend”) on his card based on the criteria (“Annual Spend Criteria”) for his/her card as follows: Eligible Card Type

Every Cardmember who fulfills the Annual Spend Criteria for his/her card within 12-months period commencing from and including the date the card is issued (“Year”) will be entitled to receive a one (1) time fulfillment of the Additional Benefits for that particular Year. To be eligible for Additional Benefits in

subsequent Year(s), the Cardmember must again satisfy the Annual Spend Criteria for the subsequent Year(s). Annual Spend Criteria will not be carried forward to the next Year for Additional Benefits eligibility. 4.4

A Cardmember’s achievement on the Annual Spend Criteria for his/her card for one Year shall neither decide nor determine his/her eligibility for the Additional Benefits in any other Year(s).

4.5

Eligible Transactions made by supplementary Cardmember(s) will be considered as part of the Annual Spend of the principal Cardmember.

4.6

The following additional terms and conditions shall apply to the Additional Benefits: (a) Additional Benefits will only be given to principal Cardmember(s). (b) The Additional Benefits in the form of additional AirAsia points will be delivered to the Cardmember’s account as stated in the credit card application form within six (6) to eight (8) weeks after the card anniversary date for a Cardmember who has fulfilled the Annual Spend Criteria. Cardmember will then redeem their additional AirAsia points for AirAsia BIG Points in order to redeem the complimentary Meal and/or Pick a Seat. (c) In order to redeem the complimentary Meal and/or Pick a Seat using BIG Points, a valid BIG membership ID is required. Cardmembers can sign up for a BIG membership ID at www.airasiabig.com. All other AirAsia BIG terms and conditions (if any) apply on BIG Points redemption. (d) Each Cardmember is only entitled to receive the Additional Benefits once regardless of the number of times he/she fulfills the Annual Spend Criteria within one Year. (e) AirAsia BIG points are only redeemable for selected meals on AirAsia and AirAsia X flights based on availability at point of redemption. (g) All other AirAsia terms and conditions (if any) on utilization of Additional Benefits. (g) Additional Benefits may not be exchanged for cash, credit or kind or used interchangeably for AirAsia and AirAsia X flights.

Platinum Visa Cardmembers are also entitled for RM200 discount on AirAsia X Premium FlatBed purchase subject to the following terms and conditions: (a) Physical Platinum Visa Credit Card MUST be presented at AirAsia X Service Counter at Kuala Lumpur International Airport 2 (KLIA2) and used for payment for the AirAsia X premium FlatBed. (b) RM200 discount on AirAsia X Premium FlatBed purchase is only applicable for Platinum Visa Cardmember whose name on both the Platinum Visa Credit Card and passport matches as may be determined by Citibank at its discretion. (c) RM200 discount on AirAsia X Premium FlatBed purchase is only available for upgrade on AirAsia X flights Airline code D7 from the AirAsia X service Counter in KLIA2. (d) RM200 discount on AirAsia X Premium FlatBed purchase is for one way only from KLIA2. (e) RM200 discount on AirAsia X Premium FlatBed purchase is only applicable when a Cardmember purchases the upgrade through the Service desk at AirAsia X Counters at KLIA2 only. (f) RM200 discount on AirAsia X Premium FlatBed purchase is solely based on seat availability when a Cardmember redeems over the Service desk at AirAsia X Counters upon check-in.

(g) RM200 discount on AirAsia X Premium FlatBed purchases is only applicable for Cardmember who makes their flight booking using Platinum Visa Card. (h) RM200 off on one AirAsia X Premium Flatbed Upgrade purchase is only applicable once per Cardmember per calendar year. (i) All other AirAsia terms and conditions (if any) apply on the purchase of AirAsia X Premium FlatBed. 6.

The RM200 discount on AirAsia X Premium FlatBed is available to Cardmembers, subject to clause 2 above. Citibank reserves the right as it deems fit, to not fulfill benefits for any AirAsia X Premium FlatBed purchases or to charge the full cost of AirAsia X Premium FlatBed Upgrade to Cardmember’s account if any one of the above applies.

7.

Citibank has the right to vary the benefits or rewards of the Co-branded Credit Card as stipulated in these Terms and Conditions, by giving notice, including in the manner set out in Clause 8 below. Such variation may include, among other things, a variation of the mechanism for the calculation and award of AirAsia Points, Additional Benefits and AirAsia X Premium Flatbed purchase. Such variations are effective on the date stipulated in the notice.

8.

Citibank reserves the right to vary or change any of these Terms and Conditions by giving notice. Such notice, including the notice stated in Clause 7 above may be given by way of posting on Citibank’s website www.citibank.com.my (“Website”), or in any other manner deemed suitable by Citibank. The Cardmembers agree to access the Website at regular time intervals to view these Terms and Conditions and to ensure that they are kept up-to-date with any variations to these Terms and Conditions. The Cardmembers agree that their continued usage of the Co-branded Credit Card constitutes their acceptance of these Terms and Conditions (as varied or changed).

9.

Citibank will not be liable for any default due to any act of God, war, riot, strike, lockout, industrial action, fire, flood, drought, storm, epidemic, pandemic, technical or system failure or any event beyond the reasonable control of Citibank.

10.

Unless amended and supplemented in these terms and conditions, the clauses in The Citibank Rewards Program Terms and Conditions will govern the Cardmembers' entitlement to earn Citi AirAsia Points. The Citibank Rewards Program Terms and Conditions is available at www.citibank.com.my/citirewards .

11.

AirAsia Points accumulated by supplementary Cardmembers will be credited into the respective principal Cardmember’s Co-branded Credit Card account. The total AirAsia Points in the Co-branded Credit Card account of the principal Cardmember will be indicated on the respective monthly statement of account. The maximum AirAsia Points in a 12-months period commencing from and including the date the respective Cobranded Credit Card of the Cardmember is issued and each following 12-month period is capped at 180,000 AirAsia Points for Platinum Visa and 120,000 AirAsia Points for AirAsia Gold respectively. Once the maximum AirAsia Points has been given to a Cardmember in a 12-months period for each Co-branded Credit Card, no AirAsia Points will be given even if: (i) the Cardmember charges further amounts to that Co-branded Credit Card; or (ii) the Cardmember redeems part or all of the AirAsia Points awarded.

12.

AirAsia Points may be redeemed only by the principal Cardmember.

13.

Once a proposed redemption is approved by Citibank, the equivalent amount of AirAsia Points which the principal Cardmember wishes to redeem will be deducted from the total AirAsia Points in the respective Cobranded Credit Card account of the principal Cardmember.

14. Once AirAsia Points are redeemed and deducted from the respective Co-branded Credit Card account, the said AirAsia Points will be extinguished and cannot be reinstated under any circumstances.

15.

Citibank’s records are conclusive evidence of the amount of AirAsia Points in the Co-branded Credit Card account at all times.

16.

Proposed redemptions are only approved by Citibank if there are sufficient AirAsia Points in the Co-branded Credit Card account of the principal Cardmember. Upon approval by Citibank, redemptions may not be revoked, cancelled or exchanged for other redeemable items.

17.

The Cardmember acknowledges that there is a lapse of time between a transaction made using the Co-branded Credit Card and the crediting of the AirAsia Points into his/her respective Co-branded Credit Card account. Citibank will credit the AirAsia Points into the respective Co-branded Credit Card account on the transaction posting date, and not the date the transaction is charged to the respective Co-branded Credit Card. As such, Citibank does not represent or warrant that the AirAsiaPoints collected before a proposed redemption are immediately available for redemption.

18.

Citibank gives no representation or warranty on the quality including merchantable quality of any AirAsia Products and Services or their suitability for any purpose. Any dispute in relation to the redemption and purchase of AirAsia Products and Services must be settled directly between the Cardmember and AirAsia and/or as the case may be, the supplier or manufacturer. Citibank will not be responsible for resolving such disputes.

19.

Citibank is not responsible for resolving such disputes referred to in Clause 18 or for the dispute itself. Citibank is also not responsible or liable for any delay, inability or negligence on the part of AirAsia to perform any of its obligations in relation to the AirAsia Products and Services as redeemed by principal Cardmember.

20.

To the full extent permitted by law, Citibank will not be liable for any death, injury, consequential loss or damage of any nature the Cardmember has suffered and if applicable, accompanying persons arising from or out of the redemption of any AirAsia Points, Additional Benefits, and/or AirAsia X Premium FlatBed purchase, including any injury or loss suffered as a result of AirAsia Products and Services, flights and holiday packages, cancellation of flights and holiday packages, extra charge, delay and resulting from any advice, pointers, tips and directions contained in any publication or printed material pertaining to them or from the loss, theft, destruction of any AirAsia Products and Services. Any liability that Citibank may have to you or any other person is limited to Direct Damages only. “Direct Damages” means actual damages or losses suffered by you or any other person as a result of a direct and immediate action by Citibank and shall not include any compensation for special, punitive, indirect, incidental or consequential damages or losses of any kind whatsoever, including but not limited to loss of profits, business or value, whether or not foreseeable.

21.

Citibank may, as it deems fit: (a) deduct or cancel any AirAsia Points from any Co-branded Credit Card account; or (b) reject or cancel any redemption requested by a principal Cardmember; with notice.

22.

Any remaining AirAsia Points and Annual Spend accumulated in the Co-branded Credit Card account, Additional Benefits or AirAsia X Premium FlatBed purchase subsidy which are pending to be fulfilled or delivered to a Cardmember will immediately cease to be valid and Citibank shall not be liable for any refund, extension or compensation upon the occurrence of any of the following: (a) any blocking, suspension or cancellation of any Gold Visa and/or Platinum Visa ; (b) any conversion of any Co-branded Credit Card to any other Citibank credit card; (c) the Co-branded Credit Card account or any of the Cardmember’s accounts becomes delinquent or the Cardmember has defaulted in any payments to Citibank; (d) the Cardmember ceases to have valid and good credit standing;

(e) the Cardmember is a bankrupt or has exceeded his/her credit limit; or (f) if a Cardmember has committed or is suspected of committing any fraudulent or unlawful acts in relation to any of his/her Citibank credit card account(s) or any other Citibank services or facilities including Citibank Online, accessible via the Website. 23.

For the avoidance of any doubt, AirAsia Points, Additional Benefits, AirAsia X Premium FlatBed purchase subsidy may not be transferred or exchanged for cash, credit or kind, whether in part or in full.

24.

Citibank reserves the right to vary or change the mechanics governing the Air Asia Points, Additional Benefits, Air Asia X Premium FlatBed purchase subsidy or any product feature(s) under these terms and conditions or to vary or change any of the clauses in these terms and conditions with prior notice to the Cardmembers by way of posting on our website at via www.citibank.com.my or in any other manner we deem fit. In this respect, you agree to log-on to www.citibank.com.my from time to time to view and understand these terms and conditions and to ensure you kept up-to-date with any variation or changes which we may effect from time to time.

25.

On the same token, Citibank reserves the right to withdraw, suspend, cancel or replace the Air Asia Points, Additional Benefits, Air Asia X Premium FlatBed purchase subsidy or any product feature(s) under terms and conditions totally or partially and when we decide to do so, we will give you prior notice by posting on our website or in any other manner we deem fit.

26.

Any such cancellation, revision, termination or suspension will not entitle any Cardmember to any claim or compensation against Citibank for any loss or damage suffered or incurred by any Cardmember as a direct or indirect result of the act of cancellation, revision, termination or suspension.

27.

If a clause of these terms and conditions is invalid or unenforceable in a jurisdiction, it is to be read down or severed in that jurisdiction to the extent of the invalidity or unenforceability, and that fact does not affect the validity or enforceability of that clause in another jurisdiction or the remaining clauses.

28.

These Terms and Conditions are governed by and construed under the laws of Malaysia.
