Background: This item was discussed at the 8/24/2015 COW meeting where Ancel Glink was selected to provide City Attorney Services by a roll call vote of 4-2 (Knight/Maloney voting “no”). On 8/31/2015 Ancel Glink provided an engagement letter which is attached and consistent with their RFQ submittal. Note the exhibits referenced in the engagement letter have been uploaded and were previously distributed in hard copy. The city initiated an RFQ for City Attorney services on 6/11/15. Eight firms responded to the RFQ. Six Aldermen and the City Manager scored those respondents on the basis of: General Firm Qualifications, Lead Attorney Experience, and Key Qualifications. Those scores were consolidated with scores for Hourly Billable Rate and Total Annual Retainer to arrive at a final scorecard. The scorecard identified the highest rated firms, the top three of which were invited to interview with the Elected Officials and select Staff on 8/18/15. Those firms were: Ancel Glink, Klein, Thorpe & Jenkins, and Robbins, Salomon & Patt. Ahead of the interviews the three selected “short list” firms were provided a list of questions to complete. The Q&A responses and all references that were returned were distributed prior to the 8/18/15 interview session. The City Manager sent a follow-up email requesting that any additional questions be submitted to Staff by noon on Thursday, August 20. The following three questions were submitted by two Aldermen: Q1) Last night during the KTJ presentation Kathy (Henn) talked about how they (she) built the successful administrative hearing process we employ today. Any insight you can offer on what could happen with that if there's a transition to a different firm? Could KTJ continue to do it, assuming they're willing and we pay? Is it a process a new firm could simply take over? Other thoughts? A) Staff believes that in the event there is a transition of City Attorney Services, the adjudication process in place today can be successfully transitioned to the selected firm. It should be noted that the majority of the related administrative functions are performed by the City Finance department. Q2) Do we have a breakdown of our previous annual expenses incurred with KTJ? I'd like a general idea of the "non-retainer" hours we are billed from year to year. 2-3 year back would be nice to see. A)

Q3) One of the firms has a current Library Board member, appointed by our council, on their staff. Dear Mayor and City Council Members: On behalf of Ancel, Glink, Diamond, Bush, DiCianni & Krafthefer, P.C., we appreciate your consideration of Ancel Glink to serve as the new City Attorney for Park Ridge. To ensure that both of us have an understanding of our relationship, it is the firm’s policy to memorialize the key terms of our engagement. The following, therefore, sets forth these terms: 1. Client; Scope of Representation. Our client in this matter will be the City of Park Ridge, and the scope of our engagement will be to represent the City relative to all corporate and other legal matters, as more fully described in our June 30, 2015 response to the City’s Request for Qualifications for City Attorney Services attached as Exhibit A (“Ancel Glink Proposal”). You may limit or expand the scope of our representation from time to time, provided that any substantial expansion must be agreed to by us. 2. Term of Engagement. Either of us may terminate the engagement at any time for any reason by written notice, subject on our part to applicable rules of professional responsibility. Following such termination, any otherwise non-public information you have supplied to the firm which is retained by us will be kept confidential in accordance with applicable rules of professional responsibility. If, upon such termination, you wish to have any documents delivered to you, please advise us. Otherwise, all such documents will be transferred to the person responsible for administering our records retention program. For various reasons, including the minimization of unnecessary storage expenses, we reserve the right to destroy or otherwise dispose of any such documents retained by us, absent contrary instructions from you. 3. Key Personnel. Julie Tappendorf, an equity partner with Ancel Glink, and Adam Simon, a partner with Ancel Glink will serve as the primary City Attorneys for the City of Park Ridge. In addition, we will call upon other attorneys with special expertise in land use, personnel, collective bargaining, finance, economic development and litigation matters to offer efficient and effective support to the City. 4. Fees and Expenses. Our fees are determined based on time spent providing services to the client by our professional staff at each person’s applicable hourly billing rate. For the City of Park Ridge, we confirm that the annual retainer cost and rate table set forth in our Ancel Glink Proposal would apply to our services for the City. The retainer and rate table will remain

Incorporation of Proposal into Engagement Letter Letter. The details of our engagement as City Attorney are described in more detail in our Ancel Glink Proposal (attached as Exhibit A), and in our August 12, 2015 Response esponse to the Written Interview Questions uestions (attached as Exhibit B). These two documents are incorporated into the terms of our engagement. Our responsibility as City Attorney is to assist the City Council in establishing policy that serves the best interest of the City and its citizens and taxpayers, and to work with the City Manager and City Staff to implement those policies. Dear Mayor and City Council Members: On behalf of the Ancel Glink law firm, we are pleased to respond to your Request for Qualifications for City Attorney Services. Ancel Glink is very interested in serving as general counsel and City Attorney to the City of Park Ridge. If retained as City Attorney, Ancel Glink would be capable of and interested in providing all the legal services described in the core and ancillary scope of services. The breadth of our experience may permit the City to use our firm for matters which are currently assigned to more expensive special counsel. Please find below our responses to each category of information required in the Request for Qualifications. General Firm Qualifications Ancel Glink is a full service government law firm with 35 attorneys concentrating in all areas of legal practice affecting Illinois municipalities. Our attorneys have experience and expertise in the areas of general municipal law, land use and development, economic development, labor and employment, government finance, litigation, workers compensation, among many other areas of the law. All of our attorneys provide legal services to local governments in some capacity. If you choose Ancel Glink, you will have the ability of having one firm provide advice in all areas of the law that affect municipalities. Our collective experience in government law is reflected in our attorneys’ contributions to various local, state, and national publications. In addition to authoring the Illinois Municipal Handbook published by the Illinois Municipal League, our attorneys work diligently to give back to the municipal community by presenting and lecturing at seminars and workshops throughout Illinois and around the country. We have negotiated redevelopment agreements and drafted land use and zoning ordinances for large and small projects throughout the state. In addition to our day-to-day representation of our local government clients, our attorneys are involved in a wide-range of litigation matters, including civil rights actions, workers compensation, tort defense, employment and personnel claims, land use challenges, condemnation actions, and many others. We evaluate and respond to insurance claims and represent governmental bodies in all aspects of insurance matters. We also represent a number of governmental bodies in litigation matters assigned by their insurance pools. Because we have many governmental clients, we are not tempted to give marginal legal opinions to simply match the desires of a leader, staff or a coalition in a particular municipality. As attorneys, we can certainly support a variety of lawful and acceptable legal positions chosen by individual clients, but we strive for a consistency in approach. Where there are legal risks involved in moving forward in a particular area, we view our job as providing realistic alternatives to the client and explaining the risks involved in each potential course of action. We view ourselves as legal problem solvers and believe that government attorneys are to serve the policy-makers of the community and not to become the policy-makers themselves. Perhaps our greatest pleasure comes from combining research and practical experience in solving governmental problems in innovative ways. When governments began to lose conventional insurance coverage, or could no longer afford outrageous increases in rates, we developed the contract and by-laws for the first governmental self-insurance pool in Illinois. When the great boom in residential development took place, we drafted the first municipal impact fee ordinance. In both of those cases, we defended the position of our client through to the Illinois Supreme Court, and received groundbreaking opinions, which have benefitted governmental bodies for decades. When the costs of federal and state storm water mandates began to add large costs to governmental budgets, we helped to develop the concept of storm water fees. As special counsel to the City of Rock Island, we successfully defended that fee at the appellate court level. When citizens or property owners demanded special services from governments, we worked to develop an effective mechanism under which special service fees could be added to real estate taxes, and collected by the counties with little local administrative costs. In all of these instances, our performance style has been to evaluate, innovate, and confirm. In our representation of the City, we will call on attorneys with special expertise in each matter to offer efficient and effective support for our team’s work. Lead Attorneys Experience and Key Qualifications The attorneys we propose to serve as the primary legal counsel to the City of Park Ridge are Adam Simon and Julie Tappendorf. For seventeen years, Adam Simon, a firm partner, has represented municipalities, park districts and other government entities, focusing on a variety of areas, including public finance, zoning and economic development, real estate, and telecommunications. He currently serves as Village Attorney to Lincolnshire, a home rule municipality. Adam combines his experience in zoning, economic development and public finance to counsel municipalities on the leveraging of public debt financing and private investment to create new public improvements and enhance economic development opportunities. He has helped to organize a number of special service areas, business redevelopment districts and tax increment financing (TIF) districts. Adam also serves as issuer's counsel for the sale of general obligation, revenue and alternate revenue bonds. With respect to general public finance, Adam has presented seminars and counsels the firm's clients on the preparation and calculation of the annual tax levy, preparation of the annual budget ordinance and cooperates with independent financial advisors to create capital expenditure plans. He has also counseled a number of clients on successful referendum campaigns. Adam serves on the Attorneys’ Committee of the Northwest Municipal Conference. He is also an active corporate member in the Lake County Municipal League, Illinois City/County Management Association and the Illinois Chapter of the National Association of Telecommunications Officers and Advisors. Adam received his law degree from the Georgetown University Law Center and is admitted to the Illinois State Bar and the U.S. District Court for the Northern District of Illinois. She has spent her entire legal career (more than 17 years) representing a variety of government clients in all areas of government law. Julie has represented many municipalities as their principal attorney, advising local governments in all of the legal areas identified in the RFQ. She currently serves as Village Attorney to Lindenhurst, Gilberts, Wadsworth, Campton Hills, and Herrick, and City Attorney to Pana. She also provides specialized zoning, land use, and economic development representation to other firm clients. Before joining Ancel Glink in 2007, Julie was a partner at Holland & Knight, where she served as Assistant Village Attorney to Bannockburn, Glencoe, Grayslake, and Long Grove, and provided specialized land use counsel to Northbrook, Highland Park, and other communities. She frequently speaks at national and local conferences on a variety of local government topics, and has published numerous books and articles on issues such as government use of social media, development agreements, land use and zoning, among others. Julie also created and is the principal contributor to Municipal Minute, the popular local government blog, where she writes daily about legal issues of interest to local government officials and employees. She is the editor of Ancel Glink Today, an e-newsletter sent to firm clients twice each month. Julie is an adjunct law professor at John Marshall Law School. Julie earned her law degree from the University of Hawaii School of Law. She is admitted to the Illinois State Bar, the U.S. District Courts for the Central and Northern Districts of Illinois, and the U.S. Circuit Court of Appeals for the Seventh and Ninth Circuits. It is the firm’s practice, however, for only the attorney most informed on issues pertinent to the agenda to attend meetings and we will often waive the cost of a second attorney if one is necessary. Stewart has represented many local government bodies as their corporate attorney. He has served as the Chairman of the Local Government Section Council of the Illinois State Bar Association and he has taught law at John Marshall Law School and Northwestern University Law School. Stewart is the originating Editor of the Illinois Institute for Continuing Legal Education’s multivolume handbooks on municipal and school law. Bob advises Ancel Glink clients on labor and personnel matters, including negotiating collective bargaining agreements. Dan would provide assistance to the City, including preparing ordinances, resolutions, and other documents. Rate Table Our firm has a long standing commitment to public service and to provide legal services at a reasonable cost. Because we concentrate our practice in the representation of public entities (and because several of our attorneys have served as elected members of government bodies), we are well aware of the financial constraints of municipalities. For legal services outside the scope of the retainer, we propose the following schedule of fees: $205 per hour for Partners/Of Counsel $195 per hour for Associates $120 per hour for Paralegals We are reimbursed standard charges for copies, computer research, and messenger/courier delivery charges. On our invoices, all of our time and expenses are fully itemized and documented. Each monthly bill for services includes the initials of the individual performing the assigned task, the date on which the work was performed, a description of the work and the amount of time spent completing the assignment. Our rates are usually adjusted annually. Total Annual Retainer (fixed fee) cost For (a) attending and preparing for 23 regular City Council meetings; (b) attending and preparing for 20 other meetings, as directed; (c) providing office hours at City Hall for officers and staff for 10 hours per week; and (d) prosecuting violations at administrative hearings and adjudications for approximately 8 hours per month, we propose an annual retainer, payable in 12 equal monthly installments, of: One Hundred Forty Thousand and No/100 Dollars ($140,000.00)

Libraries ANCEL GLINK represents a number of library districts and boards throughout the state. TOWNSHIPS Townships are the oldest form of local government in Illinois. The Illinois Constitution of 1848 gave voters in each county the opportunity to adopt township government. By 1850, the first township governments began operation. Townships are the governmental entities charged with three basic functions: 1) general assistance for the indigent; 2) the assessment of real property for the basis of local taxation; and 3) maintenance of all roads and bridges outside federal, state, and other local jurisdiction. Beyond the three mandated services, township government provides other vital services to their residents. This may include senior citizens programs, youth programs, assistance to the disabled, parks and recreational facilities, health services, local transportation, open space, and cemetery maintenance. In this regard township government serves its neighbors from the cradle to the grave.

REAL ESTATE Although our firm is primarily known for its involvement with governmental entities, risk pool defense litigation and land use issues, the firm has cultivated a practice in real estate, both residential and commercial. Adam combines his experience in economic development and public finance to counsel municipalities on the leveraging of public debt financing and private investment to create new public improvements and enhance economic development opportunities. He has helped to organize special sp service areas, business redevelopment districts and tax increment financing (TIF) districts. Adam also serves as issuer's counsel for the sale of general obligation, revenue and alternate revenue bonds. Both Houses Pass Bill to Encourage Police Body Cameras The Illinois Senate and House recently joined a number of other states in proposing legislation to encourage the use of police body cameras, in light of the recent high-profile police-involved shooting cases. Earlier this month, the Illinois Senate approved House amendments to SB 1304, which establishes the "Law Enforcement Officer-Worn Body Camera Act." While the bill does not require police to wear body cameras, it establishes certain guidelines for their use and requires local police departments to adopt policies consistent with statutory guidelines regarding the camera capabilities, rules for when the camera must be turned on or off, requirements for notifying people of the recording, retention, and use of the recordings. Now that the bill has received approval by both houses, it has gone to the Governor. You can read the bill here. For more information, click HERE.

OMA Amendment Goes to Governor This session, the Illinois General Assembly proposed many bills to amend the Open Meetings Act. House Bill 175 is one of these many proposed bills that recently passed both houses of the Illinois General Assembly. HB 175 would modify the existing 60 day limitation period to file a complaint with the Public Access Counselor of the Attorney General's office alleging a violation of the OMA. Currently, an individual has 60 days from the date of the alleged violation to file a complaint. Under the new bill, an individual would have 60 days from the date that they discovered the violation (but no later than 2 years after the alleged violation) to file the complaint. The bill has now gone to the Governor. For more information, click HERE.

New Changes to Administrative Adjudication Enforcement Options Yet another bill was recently passed by the General Assembly and sent to Governor Rauner for review. HB 2745 makes significant changes in the enforcement of administrative adjudication judgments for non-home rule municipalities. Currently a non-home rule municipality must file an action in circuit court to enforce an administrative adjudication judgment. If signed into law, HB 2745 would make an administrative adjudication decision enforceable in the same manner as

a court order or judgment. Further, the bill provides that any expense that the municipality incurs in enforcing an administrative adjudication decision (including attorney's fees, court costs, property demolition costs) can be collected against the defendant. It also calls for the recording of the judgment to be a lien against the real estate or personal estate of the defendant. HB 2745 also grants the hearing officer authority to set aside default judgments upon application and good cause shown. If passed, HB 2745 will assist non-home rule municipalities in code enforcement. Interested municipal officials may want to encourage the Governor to sign this legislation. Ancel Glink Today Your Authority on Local Government Law It's 10 p.m., Do You Know If Your FOIA Policy Is Legal? Illinois' Freedom of Information Act can best be described as a work in progress. Many readers likely know that the General Assembly revised much of the Act in 2010. But the Legislature didn't stop there. Over the last few years, Springfield approved numerous additional amendments, including provisions addressing frequent requesters and large requests. Several amendments made it significantly more efficient for local governments to comply with the Act. If you haven't reviewed your FOIA policy lately, you should. A simple review could save units of local government time, resources, and needless aggravation. Warning Signs: Court Says Downers Grove's Sign Code Is Unconstitutional Most municipalities enforce local ordinances regulating advertising signs. These regulations are an integral part of promoting safe and aesthetically pleasing communities. Local sign regulations are also a hotbed for lawsuits. Recently, a federal court found the Village of Downers Grove's sign regulations to be unconstitutional. The court in Peterson v. Village of Downers Grove explained that the village's distinction between commercial and non-commercial signs violated an advertiser's First Amendment free speech rights. Specifically, the village's regulations improperly focused on a sign's content instead of just the size and location of the sign. This case is an excellent reminder for communities to periodically review their sign regulations for compliance with the latest developments in First Amendment law. For more information, click HERE. Tree Houses No Longer Just For Keebler Elves, Berenstain Bears Move over glamping, luxury tree houses (no - homes!) have arrived. For those of you unfamiliar with glamping, the term is derived by combining "glamorous" and "camping." Mix in a couple of high thread count sleeping bags and a portable generator and you've got a weekend of roughing it. Luxury tree houses are popping up throughout the country, including in Schaumburg, where a property owner listed for rent on Airbnb the 200 square foot tree palace pictured below, complete with air conditioning, a kitchenette, wifi, and HDTV (HBO included!). The proliferation of these large rental structures and their use as high turnover, short term rentals has communities reassessing their residential zoning regulations. Many communities ban commercial uses in residential districts. Other communities do not impose meaningful height and square footage restrictions on accessory structures, which reasonably includes tree houses. There are also tax implications to consider. As vacationers increasingly turn down hotels in favor of non-traditional room rental services like Airbnb, Couchsurfing, and VRBO, communities should consider

whether their zoning regulations are sufficient to preserve the integrity of their residential neighborhoods.

The Workplace Report Update Solutions for Today’s Workplace Challenges Wearing of Hijab Protected by Supreme Court The Supreme Court recently ruled that Abercrombie & Fitch engaged in religious discrimination when it refused to allow a Muslim woman to wear the hijab, the traditional Muslim head scarf, at work. The Court found that the company knew that the woman wore the hijab for religious reasons, and therefore preventing her from wearing it violated Title VII of the Civil Rights Act of 1964. The Court held that it was not a defense that the woman did not inform the company that she wore the hijab for religious reasons, as the company should have known this. Given the diversity of religious expression, employers should exercise caution in making employment decisions that could be perceived as based on religious expression. As this case makes clear, employers take a risk if they do not inquire as to the reason a person wears a scarf, a beard, or anything else that might be religious attire. If they fire an employee for this attire, they will probably find themselves in violation of Title VII. For more information, click HERE. Health Insurance Premiums Likely Will Increase Significantly in 2016 The Affordable Care Act (aka Obamacare) requires many health insurance companies who plan to increase their premiums by 10% or more the following year to submit their proposed rates to the state or federal government for review. Many health insurance companies did so. Blue Cross/Blue Shield proposed increases ranging from 12.83% (BlueChoice Preferred--Small Group) to 38.24% (BlueChoice Preferred-Individual). Humana proposed an increase of 19.09% for its HumanaOne 2014 HMOx-Individual Product and 12.07% for its HumanaOne 2014 CPOS Individual Plan. Time Insurance Company proposed increases of 35.69% and 42.43% for its two 2016 individual medical plans. These increases, which are not proposed for group plans, are needed, according to the companies, because those enrolled through the exchanges created by Obamacare are using covered services, including doctor visits, laboratory services, and prescription drugs, more than had been anticipated. NLRB Finds Cursing at Supervisor on Facebook to Be Ok Yet again, the NLRB has found that an employee's vulgar posting about his supervisor on Facebook was protected speech. In a recent case, an employee posted an expletive-filled tirade on Facebook after his employer told him to "stop chitchatting and face the guests" at a catering event. The tirade included a sentence that said "Vote yes for union."

The employee, not surprisingly, was fired for this post. The NLRB, however, found that the National Labor Relations Act (NLRA) prohibited the employer from firing the employee. Under the NLRA, an employer may not fire an employee for speech that promotes unionization. The NLRB found that this post promoted unionization, and, therefore, was protected by the NLRA. Ultimately, employers must be careful when disciplining employees for their speech. If that speech promotes unionizing, it probably will be protected by the NLRA, even if it is offensive. The Workplace Report Update Solutions for Today’s Workplace Challenges Union 1, Governor 0 As we previously reported, in February Governor Rauner took the bold step of issuing an Executive Order eliminating fair share fees for all members of unions representing state workers. This Executive Order was controversial, with many arguing that it exceeded the Governor's constitutional authority. On April 10, a St. Clair County judge dealt a victory to unions, temporarily suspending the Governor's Executive Order and ordering state employees to make fair share payments to unions. The Governor claims that the individuals making these fair share payments will be able to recover them once another lawsuit over the Governor's Executive Order has been decided. Judge Allows Employees to Use Company Email to Unionize A National Labor Relations Board Judge recently ruled that employees may use company email for union organizing activities. The judge struck down an employer rule that prohibited employees from using business email to "engage in activities on behalf of organizations." The judge held that this rule was too broad, and violated the National Labor Relations Act. In light of this decision, employers should review their email policies to make sure that these policies do not prohibit employees from using email for unionization purposes. You Want to Grant FMLA Leave, but the Employee Won't Cooperate What happens if you have an employee with a serious medical condition who cannot work but refuses to complete the forms required to obtain FMLA leave? Maybe the employee wants to use paid time off instead of FMLA leave, or maybe the employee is too sick to fill out the forms. What should an employer do? One option is to deny FMLA leave. If an employee does not complete the forms required to obtain FMLA leave, the employer is under no obligation to provide this leave. The employer, however, also has the option of designating the employee's time off as FMLA leave. The Department of Labor allows an employer to place an employee on FMLA leave as

long as the employer has a good faith belief that the employee would qualify for this leave, even if the employee fails to complete the necessary forms. Ancel Glink is very interested in serving as City Attorney to the City of Park Ridge. This memorandum responds to the series of questions put together by the City in advance of our interview. We also look forward to the opportunity to answer any additional questions you may have at our interview on August 18, 2015. 1) What would your current municipal clients say about your firm and the services that your firm provides? Our municipal clients would say that we are (a) knowledgeable; (b) responsive; and (c) innovative. Because our firm focuses almost exclusively on representing local governments, it is important that our attorneys remain current on recent developments in statutes, cases, and administrative decisions. Our constant effort to remain up-to-date benefits our clients by making sure they operate in accordance with the law and avoid traps that result in liability. Our extensive knowledge in government law has the added benefit of keeping legal costs down, as we can draw on our collective experience in advising on issues that may affect all or a large segment of our clients. Our clients would also tell you we are responsive because we make every effort to acknowledge requests promptly, usually within a couple of hours or the same day of the request. We make it the highest priority to meet our clients’ deadlines. Our depth of substantive knowledge also improves our responsiveness (and cost-effectiveness) because there are many times we can provide a quick answer without needing to research the question.

When storm water mandates began to add large costs to government budgets, we helped develop the concept of storm water fees and successfully defended the legality of those fees in court. After the recession, we worked with many of our municipal clients to restructure financing and zoning approvals for failed development projects. We were also instrumental in the establishment of the first land bank in Cook County, which has successfully purchased and redeveloped hundreds of abandoned and vacant properties throughout the County. 2) What differentiates your firm from other similar legal firms? All of our attorneys provide legal services to local governments in some capacity. Our singular focus helps us develop an exhaustive knowledge of laws affecting municipalities and provide efficient, progressive, and creative solutions to local problems. Our work is efficient because we can rely on our breadth of experience and depth of talent – we are very likely to have examined similar problems for other clients. We are progressive and creative because our familiarity with the law allows us to better predict how courts will evaluate new initiatives. More importantly, we do not look to substitute our own opinions for the elected officials we serve. We view ourselves as the legal problem solvers. We are here to serve the policy-makers of the community, and not become the policy-makers ourselves. Too many attorneys impose a one-size-fits-all solution or otherwise replace their client’s opinions with their own. The number of attorneys employed at Ancel Glink has remained relatively constant for the past decade. We continuously and carefully monitor each of our client relationships to ensure that the relationship is adequately and properly staffed so our clients’ needs are met. We recently adopted a five year plan that anticipates and plans for future growth of the firm.

Our firm has a long standing commitment to public service and to provide legal services at a reasonable cost. Because we concentrate our practice in the representation of public entities, we are well aware of the financial constraints of municipalities. Our vast experience in government law allows us to answer many of your questions without having to research the issue. Because we represent a number of municipalities, we are able to research and prepare strategies for commonly-faced problems in a cost-effective manner that results in each client paying only a share of what it would cost for all of the work. We also hold frequent partner and corporate attorneys meetings, at which common problems are discussed and solutions shared. 5) Describe systems/mechanisms that would be established for monthly reporting of status of projects, requests, and litigation. Identify the types of reports your firm would provide to the City Council and City Manager. Please submit sample copies of typical reports your firm provides to municipalities. Please redact any references to any specific costs or sensitive information. We have established a variety of methods for communicating with our clients on pending and active legal matters. The method we use for a particular client depends on that client’s preference. Some of these methods are fairly informal. For example, in one community, municipal staff and consultants attend a monthly meeting to discuss pending issues. The manager then consolidates the discussions into a report that is distributed to the corporate authorities. Some of our clients prefer a more formal system for reporting on the status of legal matters. For example, we provide regular “suit status reports” to our litigation pool clients to provide a status of the case, discuss strategies and options, and update the litigation budget. With other municipal clients, we provide a written report of the current legal matters on which our attorneys are working. Two examples of these written reports are enclosed with this memorandum. We would be happy to customize any of these systems for Park Ridge, in consultation with the City Manager and Council. 6) Describe your firm’s communications style. What is the suggested process for transmittal of requests and other material to the City Attorney? What are the systems/mechanisms that would be established to ensure timely responses to City Council and City Staff? What response time should be expected from the City Attorney to inquiries made by the City Council/City Manager? Our communication style adjusts to meet our clients’ preferences. We make ourselves available at your convenience and by your chosen method of communication. All of our attorneys carry smart phones and can be reached by cell phone and e-mail even when we are away from the office or outside business hours.

The most successful system to ensure timely responses to assignments is to ask our client contact when he or she needs the document or answer and deliver on time. While it is often helpful for us to have advance notice, because we have such a deep roster of attorneys we are capable of responding to emergencies. Our accessibility helps us receive assignments quickly and begin to prepare answers as soon as possible. Most simply, the response time the City should expect is the deadline it sets, or earlier. Based on our experience with other clients, when every elected official individually contacts the City Attorney, the City’s legal bills are certain to increase. As a result, most of our clients have established a policy that designates one or more points of contact with the City Attorney’s office, often the City Manager or Mayor (or both). This does not need to be a rigid rule without any flexibility. However, we can most cost-effectively and efficiently provide legal service to the City if we receive our assignments from designated contacts. 7) A) If there is a transition from the City's current firm to another, describe what can be expected in the way of managing through the transition. Does your firm have a plan that can be adapted for Park Ridge? Has your firm worked through a transition in the last several years? If so, describe a few things learned that may be beneficial for the Park Ridge transition. Ancel Glink has represented governmental entities for over 80 years, and has successfully navigated numerous transitions as the incoming attorney. Our goal is to make the transition as smooth as possible for the City Council and Staff so you experience no disruption in legal representation. In our experience, the process for transitioning into new legal representation is typically uneventful, particularly if the incoming attorney is an experienced municipal attorney who has been through transitions in the past. We recommend scheduling an initial meeting with City Staff to discuss any open or pending legal matters that may require immediate attention. That meeting would also give us the opportunity to get to know each other. One of the issues we would discuss with City Staff is the preferred process for contact between the City Attorney’s office and City Officials and Staff. If desired, we would also meet with the Acting Mayor. These initial meetings would be included within our retainer. As part of the transition, we would also contact the outgoing City Attorney to discuss turning over any files or materials for matters that may be ongoing or might be expected to come up in the future. These calls or meetings would be included within our retainer.

Ancel Glink took over the representation of the Village of Gilberts in 2008. Julie Tappendorf met with the outgoing Village Attorney to discuss active matters and to transition files, and met with Village Staff to identify those projects that required immediate attention. The transition went very smoothly.



In Lindenhurst, we took over as Village Attorney in 2009. The community had been represented by the same attorney for over 20 years. We encountered no problems transitioning into legal matters that were already ongoing and working with Village officials and staff.



More recently, in May of 2015, we were appointed Village Attorney in Campton Hills, which had only had one Village Attorney since its incorporation. Julie met with and has had a few telephone conversations with the outgoing Village Attorney since the transition in May. The transition has been seamless, and there has been no disruption or gap in legal services to the Village.

Based on our past transitions, we would not expect any issues with the transition of Park Ridge’s legal services to Ancel Glink. There may be matters that your current counsel is working on that would be more efficient and cost-effective to leave with the outgoing law firm. For example, in one recent transition, the board decided to have its outgoing counsel continue representing the municipality in a litigation matter that had been ongoing for many years. In other long-standing litigation or labor negotiations, however, there may be some benefit in having the new attorney take a “fresh” look to consider whether a new approach or strategy is appropriate. We can assist the City in determining whether it would be beneficial to the City to keep its outgoing attorney involved in a particular matter or transition the matter to Ancel Glink. B) If your firm is selected and there is no transition, describe 3 to 5 things that your firm might suggest doing to improve upon the provision of your legal services. N/A 8) In Park Ridge, the City Attorney is appointed or discharged by the City Council, subject to Mayoral veto. Describe how your firm navigates, or will navigate, essentially reporting to the City Council but working directly, on a day to day basis, with the City Manager and staff? In a successful municipality, the City Council sets policy direction and City Staff, especially the City Manager, is responsible for implementing that policy. The City Attorney’s role is split

On one hand, the City Attorney must provide guidance to the City Council so they can make informed decisions that comply with the law. On the other hand, we work with City Staff to implement policy by drafting ordinances and regulations, negotiating and reviewing contracts, and providing advice on the day to day legal issues. Based on our nearly 85 years of representing government bodies, we understand how to balance the policy interests of City officials with the management and administrative interests of City Staff to ensure that the City is getting the legal advice and services it needs to best serve City residents. a. Given the above, what is one key piece of advice your firm would offer the City Council and City Manager? We find our services to be the most effective if we are able to communicate with a limited set of designated officers who are delegated authority to assign work to, or authorize contact with, the City Attorney. In many of our communities, our central point of contact is the City Manager or Mayor (or both). There are a couple of advantages to adopting a legal services communications policy. First, it is an effective way to control legal costs. In many cases, the City Manager can answer a question without seeking additional legal advice or may have already contacted the City Attorney on the issue. By recommending such a policy, we do not suggest there should be limited access to the City Attorney’s opinion. Rather, the City Manager and each member of the City Council should have equal access to the Attorneys’ opinions and work product. b. Finally, given what is described above, would your firm consider the City Attorney a part of City Staff? Yes or no and why or why not? The City Attorney must provide legal counsel to the City Council who sets the policy and to the City Staff who implements those policies. To the extent we provide services that assist City Staff in executing the City Council’s direction, we are likely to be viewed as part of the City Staff. However, because the City Council appoints the City Attorney directly and is our client to whom we owe our duty of loyalty, we are not a City employee and are not, therefore, technically a part of City Staff. We find this dichotomy can be overcome by maintaining frequent communication with the City Council and the City Manager to ensure all parties have a common understanding and agree on the role the City Attorney plays in the organizational structure.
