Conditions

The Police participate in numerous investments with Adams Street Partners and the predecessor organization Brinson Partners (BPF Funds). The BPF Funds are billed outside of the fund and the ASP Funds are charged within the fund. As the funds mature (beginning in year 8), the amount of fee decreases by !0% per year unitl the fund is liquidated or goes to zero %. The only other management fees is a carry on secondary investments of 10%.

Carried Interest: No carried interest on primary partnership investments. 10% carried interest on secondary partnership investments. Hurdle Rate: Although there is no hurdle rate, carried interest on secondary partnership investments is not paid until all committed capital has been returned to Limited Partners. GP Giveback: If, upon liquidation of a Fund, the General Partner has received distributions with respect to its carried interest on secondary partnership investments that exceed 10% of the Fund’s cumulative net profits from secondary interests, then the General Partner shall return to the Fund the lesser of (1) the amount of such excess and (2) the amount of distributions (other than tax distributions) received by the General Partner with respect to its carried interest from secondary interests.
