Thank you for your interest in becoming a National Affiliate Contractor for IC2S. We ask that you take a few minutes and complete the following pages. The information you submit will help us to select your company when we have a work order or quote request for a project in your area. To make us more competitive and in turn provide you with more work, we ask that you offer us a discounted rate from what you would charge your standard customers. IC2S is acting in the manner of a sales representative for your company with no cost to you which will make this agreement beneficial for both parties. If at any time your information below changes, we request that you resend these forms with adjustments. We also request a certificate of insurance naming IC2S as the Certificate Holder. If you have any additional company literature or a company profile, please enclose it with your response. Form of Letter Agreement with Affiliate:    Dear         :      We  are  pleased  that  you  have  chosen  and  are  willing  to  become  an  Affiliate  of  Integrated  Cabling  and  Communication  Systems  (“  IC2S”).    We  look  forward  to  working with you and set forth in this letter the terms of our engagement.      1.  Scope  of  Engagement:  As  an  Affiliate,  you  will  provide  services  to  our  customers  on  projects  identified  by  us  on  a  separate  Work  Order.    Work  Orders  and  communications on each prospect will be time sensitive and, therefore, will take place  primarily by facsimile or electronic communication.      2.  Fees and Expenses: You will be paid for each project or multiple projects  based  on  the  rates  you  submitted  to  us.    The  Fees  and  Expenses  paid  for  each  project  will be limited to and specifically set forth in each Work Order.      3.  Contact  Information  and  Company  Profile:  As  part  of  the  process  to  become  an  Affiliate,  you  have  submitted  pricing,  compensation  for  various  titles  and  functions, and company profile information.  We expect you to provide updates to these  submissions  as  they  occur  within  your  company;  however,  no  changes  will  affect  any  Work Orders.      4.  Insurance: You will provide us a current insurance certificate on ACORD  Form 28 naming IC2S as a certificate holder and shall provide certificates upon renewal  as  long  as  you  are  an  Affiliate.    Any  cancellation  or  changes  to  your  coverage  will  be  grounds for termination of any  current Work Order and termination of  your status as  our Affiliate.      5.  Relationship  to  IC2S:  You  acknowledge  that  you  are  an  independent  contractor to  IC2S  for  the purpose  of  performing a  specific  Work  Order  or series of   Work  Orders.    You  will  not  represent  to  anyone  that  you  are  an  agent,  employee,  partner or other status giving you the right to speak for or bind IC2S.      6.  Responsibility  for  Wages,  Taxes,  Etc.    You  and  IC2S  will  be  solely  responsible  for  all  its  own  taxes,  employee  expenses,  taxes  and  benefits,  and  will  not  look to the other for any payments except those required by any Work Order.  We will  indemnify each other in case any claims are made for such expenses.   

  7.  Confidentiality: You acknowledge that IC2S is providing you access to its  customer  relationships  and  certain  confidential  information,  including  not  only  the  access to customer identity, but technical know‐how, information and other information  which  from  time  to  time  IC2S  may  disclose  and  mark  “Confidential.”    You  agree  to  keep such information confidential and not disclose the same to any third parties.  We  will  not  designate  nor  treat  as  confidential  any  information  which  becomes  publicly  known  through  no  wrongful  act  of  yours,  information  which  is  independently  developed by you or received from a third party who has no similar restriction on the  use of confidential information.      8.  Non‐Competition:  You  acknowledge  that  you  have  been  introduced  to  a  particular customer on any Work Order through the sole efforts of IC2S.  You agree that  for a period of two (2) years after the completion of any Work Order, you will not solicit  or accept work from that customer of IC2S.      9.  Miscellaneous: This Agreement and your submission referred to in Section  3, and a specific Work Order are the only agreements between us.  There are no oral or  other  understandings  between  us,  these  agreements  can  be  changed  only  by  further  written agreement.      This Agreement may be terminated at any time by either of us and all obligations  except  Confidentiality  and  Non‐Competition  will  survive  termination  as  set  forth  in  those sections.      This  Agreement  will  be  interpreted  according  to  New  York  State  law  and  in  a  court  of  appropriate  jurisdiction  in  the  State  of  New  York.    By  becoming  an  Affiliate,  you agree to the jurisdiction of the courts of New York State.              Affiliate:  IC2S:      By:                                                       By:                             Dated:                       Dated:          

Guidelines for Affiliates 

IC2S will call in, email or fax work orders to affiliates. A response is expected back within 3 hours notifying us of the scheduled date of the job.



Affiliates are expected to notify the customer of arrival time the day before the job.



Affiliates are to represent IC2S in a professional manner.



Unless otherwise specified by IC2S DO NOT give the customer direct phone, cell or pager numbers.



Surveys and quotes are considered free of charge. All quotes received for a bid job must include all applicable taxes and a complete breakdown of labor, travel and materials used.



Affiliate must call IC2S for written approval to proceed with completion of any work outside the scope of work provided on the work order. All overtime must be approved in writing by IC2S.



Upon completion of work orders, affiliates should fax or mail the signed work order, invoice, and any other relative paperwork within 3 business days.



IC2S will provide one request for invoice and documentation if not received timely. After notification and three business days, the job will be considered a no charge from the affiliate.



Invoices MUST include number of labor hours, rate per hour, travel time and materials used, as well as a complete scope of work performed.
