2012 AT A GLANCE 2012 from the Chairman’s point of view Controlled development «In a gloomy economic and social situation, which brought about a market slump on the national level, NGE’s revenue increased in 2012, sustained by a satisfactory level of activity in all its business lines. Tackled with confidence and rigor, the year 2012 enabled NGE to demonstrate the appropriateness of its model based on the quality of the Group’s men and women, and the management team’s ambitious internal and external growth policies, upheld by Group shareholders. With its six business lines and over 7,000 employees, NGE undertook several major projects which convey its values, illustrate its confidence in the future and assert its commitment to its customers. Integrating young people, developing a culture of safety, building up expertise, and international development are the priorities implemented by the Group and which contribute, on a daily basis, to shaping tomorrow’s NGE.»

Making ground safer

EHTP is specialized in techniques associated with the collection and transport of wastewater, the replacement and interconnection of drinking water pipes, the associated hydraulics, and the laying and fitting out of dry pipeline networks, in particular for electrical works. EHTP has created a development structure focused on renewable energy.

Historically present in all major infrastructure projects through the construction of numerous civil engineering works, NGE Génie Civil has strengthened its regional positioning. Its expertise covers numerous fields such as wastewater treatment plants, water reservoirs, waterworks, fishways, etc. The Group’s technical offering is supplemented by LAGARRIGUE, which specializes in custom prefabrication.

SIORAT is continuing to develop its stationary on-road activities across France and installing new facilities on the regional scale (asphalt application workshop and dressing workshop). For major works, NGE invests in techniques using high-performance equipment (mobile plant with a 40% recycling capacity). AGILIS and its subsidiaries have broadened their offering with a comprehensive range of construction and maintenance services. AGILIS develops decorative and imprinted slipform ranges and builds all types of noise barriers.

GTS and its specialized subsidiaries have equated growth with innovation in the fields of soil improvement, retaining walls, soil injection grouting, deep foundations, specific civil engineering, fluvial and maritime work, contaminated sites and work in rope access. In September 2012, GTS took over a large part of Heaven Climber’s business activities. The activities performed by the Geotechnical and Safety Contractors division now include techniques such as augur cast piles and jet grouting.

Being close to employees

NGE places people central to the company. On a day-to-day basis, this means giving employees more and more autonomy and responsibilities, in order to promote their development within the company. The Group continues to develop with its workforce by integrating men and women attracted by its crossfunctional work approach, its values and its creativity.

In order to manage its human resources at grassroots level, NGE has appointed dedicated HR Managers divided up into different geographic regions in France.

Developing a mentoring policy NGE has over 200 voluntary mentors, selected and trained to facilitate the integration of young employees on their first jobs and pass on the company’s expertise and culture. In 2012, 250 young people on work-study contracts received mentoring.

Preserving the human dimension, despite a growing number of employees After having hired 775 people in 2011, the Group hired 826 in 2012. Its workforce tripled in the space of ten years.

With the desire to make progress concerning disability Along with its social commitment in favor of young people and seniors, NGE wishes to step up its actions aimed at employees encountering health-related difficulties. The Group, which actively participated in the week dedicated to the employment of disabled persons in November 2012, conducted a “disability review“ in order to set up and develop a disability policy within the company, based on best practices.

52/53

THE GROUP IN DEPTH The development of prevention and occupational safety In line with its values and convictions, NGE implements a strong and ambitious policy concerning prevention and occupational safety. Determined to make progress, the Group is totally convinced that nothing can be taken for granted on this subject. In addition to the programs and actions implemented, safety and prevention are everyone’s concern and priority on a daily basis.

Prevention training In order to promote exemplary behavior in terms of prevention at all company levels, NGE has launched a program to train all Team Leaders and Job Superintendents in the Regions, Subsidiaries and the Major Works division. The program concerns nearly 600 employees. Launched in 2012, this campaign will run until the end of 2013. Over 20 Prevention Instructors were trained especially for the program.

Preventing occupational hardship After conducting a diagnosis, the CHSCT, the Prevention and Safety Department, the Human Resource Department and the Equipment Department laid down a three-year action plan aimed at reducing strenuous working conditions.

Taking measures to reduce risks Involving senior executives, training local management, setting up a network of occupational safety officers across the country, and being present on-site to provide support, educate and punish employees, if necessary, are the key measures which have made it possible to lower the indicators.

Constantly remaining vigilant

The year 2013 will be marked by a general re-focusing on Prevention, to do the utmost to ensure everyone’s safety. With the implementation of an action plan on addictions, the Group will take positive measures to preserve its employees’ health.

Improving road safety NGE has set up a training program dedicated to road safety and energy-efficient driving. The Group has given itself three years to train all of its employees.

54/55

THE GROUP IN DEPTH Sustainable Development Convinced that it can and must always improve, NGE is constantly taking measures to reduce the impacts of its work on landscapes, natural resources and ecosystems. Keeping one step ahead of its legal obligations, the Group has chosen to draw up a “Sustainable Development Report“ presenting its corporate social and environmental indicators.

A five-point commitment

NGE’s commitment to sustainable development is based on 5 major lines of action:

Social cohesion and solidarity

Fulfilling people’s essential needs

Preserving resources and biodiversity

Bat bridge to help bats navigate above the A89

Moving towards responsible production and consumption patterns

Combating climate change

Under the supervision of a Sustainable Development Committee This Committee meets twice a year to review the Group’s “Sustainable Development Action Plan“ and QSE management system.

Attentive to communicating rules

A worksite environmental regulation guide was drawn up to improve communication and raise awareness. The guide is distributed to all R&D and operations managers.

Attentive to the re-use of materials

85% of the natural geological materials excavated during NGE’s earthworks are re-used or recovered on site.

Attentive to preserving biodiversity

NGE had an inventory drawn up on the site of its head office in St Etienne du Grès, located in the sensitive environment of the Alpilles Regional Park, and set up an action plan to promote the development of biodiversity.

56/57

THE GROUP IN DEPTH The development of certifications NGE has set a goal of developing QSE certifications. Year after year, an increasing number of Group subsidiaries, regions and agencies become certified.

An exemplary parent company

Multiple certifications

NGE was the first Public Works group to have its parent company certified for corporate governance and the management of design activities, design-build activities, private financing operations and worksite operations according to ISO 9001 / OHSAS 18001 / ISO 14001 (QSE) standards.

NGE takes measures to meet the requirements of various standards such as: ISO 9001, defining requirements concerning the organization of a quality management system.

Financial aspects 2012 NGE continues to chart its ambitions The Group is on a growth path, reflected in the 2012 figures and 2013 forecasts. The growth is spectacular: +16%. Revenue reached €1.328 billion. On a like-for-like basis, with TS0 over a 12-month period, growth reached 4.5%, which is remarkable in a market which was down 2.2%.

The development strategy resulted in excellent revenue growth as well as the acquisition of numerous contracts. New orders were up 9.7% in a market which declined by nearly 14%. The increase in current operating income was highly satisfactory due to the full-year consolidation of TSO and increase in the current operating margin (2.8% of revenue). Current operating income amounted to €37 million (up 23%). After financial expenses and tax, net income was up 31% to €19.8 million.

NGE further reinforced its financial position. Its net cash rose over 2012 and its net debt dropped. NGE’s net cash amounted to €113.9 million on December 31, 2012 and its gross debt amounted to €226 million. The debt/equity ratio remained stable over the year. The amount invested in production equipment continued to grow, totaling €68 million. Like in the previous financial year, these expenditures were made possible by the high level of orders booked, combined with the increased work on major projects and the development of railway activities. The Group’s order book is in line with its 2013 objectives.
