Green Driver Member Rules 2014/2015

Welcome to VRTUCAR Car Sharing community! These Member Rules are for the mutual benefit of our Members and Virtue Transportation Systems Inc. (VRTUCAR). The Rules are in addition to Membership Agreement [hotlink here to Green Driver Membership Agreement]. The Member Rules and Membership Agreement identify the liability of Members and Associate Members for various charges, and limit the liability of VRTUCAR. VRTUCAR reserves the right to modify the terms and conditions of the Agreement and the Rules from time to time. Deposits and Fees You pay a deposit in the amount of five hundred dollars ($500); and two hundred and fifty dollars ($250) for an Associate Member (see Appendix), on signing up, unless waived by VRTUCAR. There is only one monthly membership fee for you and any Associate Member(s). Associates can be added anytime. Monthly membership fees are not pro-rated. You agree that the deposit can be used by VRTUCAR in carrying out its activities, including financing and purchasing new vehicles. No interest will be calculated or paid on your deposit. If you owe a debt to VRTUCAR when you cancel your membership, VRTUCAR reserves the right to use the deposit to cover all or part of the amount owing. If you are found to be at-fault in an accident, or otherwise to be responsible for damaging a car, or violating any of the Member Rules, VRTUCAR reserves the right to use all, or part, of your refundable deposit to recover any costs, and to cancel your membership. There is a $3.95/month/driver Damage Protection Fee (waived if you pay your VRTUCAR account with a VISA or MasterCard that has Collision Loss Damage Insurance and complete the VRTUCAR CLDI form. If you have one or more Associates on your account, each of them must also be eligible to be covered under your CLDI, or the coverage cannot be used.) You will be charged the DPF if applicable, and the monthly membership fee, regardless of whether or not you used a VRTUCAR in that month. For local reservations between 00:00 (midnight) and 07:30, there is no hourly charge, however, you must reserve the vehicle.

Longer Distance User Rates (LDUR) for Regular and Frequent Plans 24-Hour Rate KM Rate $39 15¢/km You may add up to 3 hours of grace when you make an LDUR reservation. However, if you add more than 3 hours to the reservation, you will be charged for another 24 hours. Our software will automatically apply the LDUR rate to any reservation, if the LDUR is more economical for you. Work Day Rate The Work Day Rate is available to Frequent Plan members only. This rate is available after 07:00 and finishing by 17:30, Monday to Friday. Time Price KM Rate 07:00 – 17:30 $26 40 kms included (Fuel surcharge applies to all kilometers.)

HST is applied to all fees and rates. Use of a VRTUCAR You pick up the vehicle at its station, at the start time of your reservation. You return it, clean and in good working order, to the same station, at the end time of your reservation. VRTUCARs can be driven anywhere in Canada and the continental U.S.A. You must make a full inspection before taking the vehicle, and indicate it on your trip log. You must advise VRTUCAR, without delay, of any damage. Failure to report may result in you being deemed responsible for the damage. You are responsible for brushing away snow, cleaning or defrosting the windows, checking fluid levels, removing your litter and personal belongings, and leaving the vehicle ready for the next member. You must advise VRTUCAR of any irregularity such as any dashboard warning lights, engine noise, battery weakness, etc. If the problem prevents your use of the vehicle, contact VRTUCAR at 613-798-1900 or toll free 1-855-878-8227 (answered 24/7). VRTUCAR is not held liable for indirect damage or injuries arising from vehicle accessories (bicycle rack, child seat, etc.) You are responsible for their safe installation and must check their condition before each use. Prohibited Use of a VRTUCAR You may not use VRTUCAR under the following circumstances: a) in any speed race or competition; b) for the purpose of towing, pushing, or propelling any trailer or any other vehicle; c) while under the influence of alcohol, or of any drug or medication which could diminish your capacity to drive a vehicle safely; d) while in the act of committing a crime, or any other illegal activity; e) in a negligent or abusive manner; ill-advisedly, or without a reservation; f) if you have provided VRTUCAR with false information; g) with pets, unless you have signed the VRTUCAR Pet Pledge [hotlink here to Pet Pledge], and all traces of the pet are removed after the trip. If you use VRTUCARs in a prohibited way, VRTUCAR reserves the right to cancel your membership and/or to use all, or part, of your refundable deposit to recover any costs.

Reservations You must always reserve a vehicle in advance on each and every occasion you want to use it. The choice of vehicle is left to VRTUCAR’s discretion. Reservations can be made on the spur of the moment, or up to 30 days in advance. Reservations begin on the hour, quarter past, the half-hour, or quarter to the hour. The minimum time period for a reservation is a half-hour, the maximum is 7 days. Reserve a vehicle at www.vrtucar.com, or at mobile.vrtucar.com, free of charge. Reservations can also be made by calling 613-798-1900, or toll free 1-855-878-8227 for a fee of 60¢ daytime and $1.20 evenings for each reservation. There is no telephone fee for calls to modify or cancel. Modify or Cancel Local Reservations 1. Two hours or more before the start time, modify or cancel at no cost 2. Within two hours of the start time - modify for no telephone fee - cancel – the cost is 50% of the reserved time 3. After the start time - modify for no telephone fee - release – the cost is 100% of reservation time passed, and 80% of the remaining original time. Modify or Cancel Long Distance Reservations 1. Two hours or more before the original start time, modify or cancel at no cost 2. Within two hours of the start time - modify for no telephone fee - cancel – the cost is 50% of the first 24 hours of the reservation 3. After the start time - modify for no telephone fee - release – the cost is 100% of reservation time passed, up to the end of the current 24hour period. There is no charge for any remaining days. mobile.vrtucar.com applies all charges automatically Trip Log Each time you use a vehicle, you must fill out a trip log with all the required information. Afterwards, you must leave the white copy in the trip log folder and retain the yellow copy of the trip log for your records. If the trip logs are misplaced, or if any of the required information is missing, VRTUCAR reserves the right to use any relevant information available to determine the kilometers you drove. Gas and Other Eligible Expenses You are responsible for filling up the car with regular gas whenever the gauge shows the tank is at, or below half. If the windshield washer fluid reservoir is empty, you must fill it with winter grade fluid (–40 degrees) throughout the year. The cost of gas (regular gas only), windshield washer fluid (winter grade only) and a car wash (up to $10) is assumed by VRTUCAR. On the receipt, write your member number and car number and place the receipt in the trip log folder. VRTUCAR Green Driver Member Rules Page 3 of 6

If our payment method is declined, use your own payment method, and write your member number and car number on your receipt. Place your receipt in the trip log folder. Any such expenses, once approved by VRTUCAR, are credited on your monthly invoice. Switching Plans You can switch your monthly plan, at no charge, by notifying VRTUCAR by phone or email, prior to the last business day of the month. You also may switch to the Easy Plan or the Duet Plan. A transit pass is required for Duet Plan. There is a $99 + tax non-refundable registration fee per driver to switch to Easy or Duet, which will be deducted from your deposit. The balance of your deposit will be credited to your account or refunded. If you decide to switch plans, your Associate must also switch with you to the same plan, or else establish their own account. Once you have switched, you agree to follow the Easy or Duet Member Rules. Invoicing You will receive an email notice of your monthly invoice. To view your invoices, log in to Reservauto, and select “Personal Information”. As the Primary Member, you are invoiced for all fees and charges for yourself, and any Associate Member(s). You are responsible for payment in full. Payments are made by pre-authorized credit card, or by pre-authorized debit. Invoices are due in full upon receipt. Pre-authorized credit card withdrawals are processed on the 15th day of the month; pre-authorized debits are processed on the 20th. If your account is in arrears, you may be refused use of VRTUCAR’s services until your account is paid in full. VRTUCAR reserves the right to make an additional withdrawal in any given month (with notice) if the account is in arrears, or has a current balance over $500. Interest is calculated at 2% per month (26.8% per annum) on all overdue accounts. Declined payments result in a fine. (See Appendix) You have three months following the related statement date to indicate any errors. No correction or credit can be made after that. Insurance The VRTUCAR insurance policy is available at http://www.fsco.gov.on.ca/en/auto/forms/Pages/oap1_forms.aspx VRTUCAR’s insurance does not cover you when you are driving vehicles other than VRTUCARs. Accidents Members are responsible for the car while it is reserved by them and must immediately report any accident to VRTUCAR. If you are the victim of a hit and run, you must obtain a police report. If you are involved in an “Accident requiring a police report” (see Appendix), you must record the other driver’s licence information, their phone number, and their insurance policy. Record the make, model and licence plate of their vehicle, and a description of what happened. Obtain a copy of the police report and forward all relevant information to VRTUCAR promptly. If you are involved in an “Accident not requiring a police report” (see Appendix), any damage up to $500 may be covered by VRTUCAR’s Damage Protection plan. Damage over $500, but less than $5,000, is assessed on a case-by-case basis. VRTUCAR will consult with you and propose a solution for you to consider. Wherever possible, the solution will be one that is mutuallyVRTUCAR Green Driver Member Rules Page 4 of 6

agreeable to you and to VRTUCAR. In the event that VRTUCAR and you cannot reach agreement, VRTUCAR’s solution will prevail. Damage over $5,000 will be processed through VRTUCAR’s insurance. For more information on the legal requirements for accident reporting, please see: http://www.e-laws.gov.on.ca/html/statutes/english/elaws_statutes_90h08_e.htm#BK295 You agree to provide VRTUCAR, and any other claims adjustment service, with the findings of any report or any notice relating to a claim or a lawsuit against VRTUCAR, regarding an accident involving a VRTUCAR vehicle. You agree to cooperate fully with VRTUCAR in the investigation and defense of any such claim or lawsuit. Member Responsibility for Damage If you are found to be to be negligent, or at-fault in an accident, VRTUCAR reserves the right to use all, or part of your refundable deposit toward the cost of repairs. You are responsible for any damage for which you are at-fault, and that is not covered by VRTUCAR’s insurance policy or by the vehicle manufacturer’s guarantee, in particular if you: -

fail to abide by any requirement or condition as set out in the Member Rules; neglect to gather the necessary information or to collaborate fully following an accident, and this negligence causes VRTUCAR to incur additional costs; use a vehicle in a negligent way, drive with the emergency brake on, or fail to follow the instructions in the owner’s manual; fail to remove the key from the ignition and/or to close windows or lock the vehicle; fail to turn off accessories (such as headlights and windshield wipers, etc.) when returning the vehicle; fail to clean or repair any mess, damage, stain or mark, however caused (by your pet, by spilling coffee, by transporting items, etc.) fail to advise VRTUCAR of any theft, vandalism, or damage to VRTUCAR’s vehicle, or any accident within 24 hours.

You consent to pay to VRTUCAR all fees incurred in recovering any amounts owed that are covered by these Member Rules, or for the recovery of a vehicle or all legal fees or court fees accruing from the enforcement of the terms of these Member Rules. Violations of the Highway Traffic Act or Municipal Parking Bylaws You are responsible for any traffic or parking fines received while using a VRTUCAR. You must report as soon as possible any violations that are not resolved within the prescribed deadline appeals, legal proceedings, etc. You must notify VRTUCAR of violation notices found on the vehicle at the moment that you take possession of the vehicle. Otherwise, you are held responsible for any fine or fee incurred by VRTUCAR. You must not leave a vehicle in a restricted parking zone. If you do, you are responsible for all resulting parking tickets and towing fees. VRTUCAR may otherwise instruct you to move a vehicle that was parked in a restricted parking zone. Cancelling Your Membership To cancel your membership, return the keys to VRTUCAR before the last business day of the month. If you return the keys after the last business day of a month, you will be responsible for the next month’s fees. If the keys are lost, you are charged according to the Appendix. All deposits are reimbursed to the primary member by cheque within 60 days of payment of the final invoice. For a fee, the deposit can be refunded to a credit card. VRTUCAR does not give any warranty or guarantee except as follows: VRTUCAR will use reasonable care in the performance of its services. VRTUCAR will have a program of regular preventive maintenance and will deal in a reasonable way with defects that are reported. However, VRTUCAR will not be liable for any damages or losses, however caused, arising out of, or in connection with: a vehicle not being available when it was supposed to be; and/or any malfunction of, or deficiency in a vehicle, whether or not an accident, physical injury or property damage results; and/or any defect in a vehicle, or any breach of warranty or other obligation by any manufacturer or supplier or repairer of a vehicle. This expresses the full obligation of VRTUCAR to you and is instead of a warranty, whether expressed or implied. In no event will VRTUCAR be liable for any damage or injury to persons or property, or loss of profits, or any indirect or consequential damages, however caused. Privacy Policy/On-Board Computers VRTUCARs are equipped with on-board computers with anti-theft technology and a tracking system linked to a global positioning system (GPS). You declare you have been made aware of this policy through the present provision in the Member Rules and you accept its use and application on signing the Member Agreement. An Associate does not need to reside with you. You will receive one invoice for all drivers on the account, and you are solely responsible for paying it in full. All deposits are returned to the Primary Member. Penalties Penalties apply to any oversight, omission, or negligence on your part that inconveniences VRTUCAR or any other Member, such as: -

using a vehicle without a reservation, or using the wrong vehicle - $40 plus any additional costs incurred by VRTUCAR returning a vehicle late - $25 plus any additional costs incurred by VRTUCAR leaving the key in the ignition - $25 to $75 plus any additional costs incurred by VRTUCAR leaving a vehicle’s lights on - $25 to $75 plus any additional costs incurred by VRTUCAR leaving with a vehicle before the designated time - $25 returning a vehicle to the wrong station - $25 to $75 plus any additional costs incurred by VRTUCAR not paying a traffic violation fine on time - $25 plus online payment fee plus cost of the fine failing to plug in, and/or activate charger on a hybrid or electric car - $25 plus any additional costs incurred by VRTUCAR declined payment - $25 misuse of a car that results in the need for a service call or professional cleaning $25 to $75 plus any additional costs incurred by VRTUCAR
