Through its presence in two major European projects, SEA (LGV Sud Europe Atlantique - Tours-Bordeaux) and Crossrail (a crossLondon underground railway line project), NGE demonstrates its ability to support large-scale operations and to respond to the market for major projects both inside and outside France.

An international
Am b i t i o n Ability to think global NGE is ready to follow in the footsteps of TSO in markets on several continents, thanks to the expertise of several subsidiaries such as Agilis, GTS, and SOC and their structuring under the NGE Contracting banner. Initial results have already been recorded for Agilis in Morocco, for example.
TSO signed the biggest contract in its history with Crossrail. Rail, roads, highways, and airports are now new targets abroad where NGE makes comprehensive construction offers that incorporate maintenance and service, for new or existing infrastructure.

Water and the environment Thanks to its mastery of the water cycle, EHTP intervenes on sites related to the collection and transport of wastewater and the replacement and interconnection of drinking water pipes. LACIS continues its development in the installation and equipment of electrical networks. In 2013, the creation of REHACANA, a new subsidiary born from the merger of the Rehabilitation departments of SOC and EHTP’s Rehacana helped to reinforce the hydraulic & other underground networks branch of NGE by combining two complementary forms of expertise that are able to work together throughout France. REHACANA will be able to promote significant innovations in the sector of non-visitable rehabilitation and trenchless technology, a constantly evolving sector with increasingly advanced techniques and technologies, such as in the field of jacketing.

Major civil engineering structures With its historical presence in all major infrastructure projects with the construction of several civil engineering structures, NGE Civil Engineering is strengthening its position in the region, supported by Lagarrigue, a specialist of «made-toorder» prefabricated structures. Its expertise also applies to the completion of structures related to water businesses, such as wastewater treatment plants, water tanks, hydraulic plants, fish passes, etc... In 2013, the Group’s specialists participated in several major and significant operations such as the Musée Soulages (Rodez), works on the Rennes metro and the completion of 40 civil engineering structures on the Sud Europe Atlantique high-speed line.
Road infrastructures SIORAT continues to develop its stationary on-road activities across France and installing new facilities on a regional scale (asphalt application workshop and dressing workshop). In major works, NGE invests in ultra high-performance equipment (mobile stations that make it possible to incorporate up to 50% of recycled materials). AGILIS and its subsidiaries have broadened their offering with a comprehensive range of construction and maintenance services. AGILIS develops decorative and imprinted slipform ranges and builds all types of noise barriers.

Making ground safer
GTS and its specialized subsidiaries have equated growth with innovation in the fields of soil improvement, retaining walls, soil injection grouting, deep foundations, specific civil engineering, fluvial and maritime work, contaminated sites and work in rope access. GTS also has a new entity on the island of Réunion through the integration of SGTPS. The company has demonstrated that it is a specialist in marine and river works through several major projects such as the St. Paul ferry landing or the containment of the Saint-Denis River. With this operation, the new grouping offers multi-technical solutions in special works, such as rope access work, reinforcement, maritime works, special earthworks and underwater work.

Railway construction and maintenance On the railway construction and maintenance and mobility infrastructure market, TSO has continued its development in France with the preparatory work related to the Sud Europe Atlantique high-speed line, and abroad with the conclusion of several major operations and the signing of Crossrail, the largest contract in its history. To structure its development in the domestic market, TSO has absorbed Offroy, a railway construction and maintenance company that operates in Ile-de-France and in the eastern part of France, and its 70 employees. It performs the lowmechanization tasks of maintenance and regeneration of classic tracks for SNCF or RATP, as well as several regional private construction and maintenance markets, industrial branches, and railway civil engineering (railway platforms, crossing decks, surface cleaning, etc.). In 2013, the subsidiary FVF began a new strategic path to guarantee railway safety on existing tracks in use. Although this is minor news in a market that has until now been reserved for SNCF, FVF hopes to grow quickly.

2008
Positioned since 2008 with the State and local authorities on the construction of privately financed infrastructure projects, NGE oversees several highway concession projects and has thus developed real expertise in financial engineering and overall management of PPPs. Through the strength of its project and the funds it is able to dedicate to it, the company is able to position itself as an industrial and financial coordinator and intends to remain active to respond to new opportunities.
Local PPPs Relying on its expertise in the creation of innovative solutions and extensive coverage through its network of Regional Departments, NGE carries out community projects on local and regional scales. Accordingly, in 2013, NGE won a 15-year long work and management concession for the operation of the public drinking water production, transport and storage service for the Community of Municipalities of Haut-Bugey (Oyonnax).

A permanent social dialogue
The choice to support
NGE is developing a social, open and constructive dialogue in which the social partners are involved and aware of the economic interests of the company.
NGE is working to integrate young people who did not do well in school and who are now experiencing difficulties with professional integration. Platforme, the NGE training center, opens future prospects for them thanks to the diversity of the training offered, thus allowing them to secure career paths by leveraging the cross-disciplinary nature of the posts offered in the Group according to the needs of the projects
This is expressed through dynamic joint committees in which the major social themes (such as employability, disability, housing, training, tutoring, and mobility) are addressed.
Anti-discrimination measures NGE has set up an unequivocal approach to combat all forms of discrimination and make professional competence the only reference in terms of recruitment and career development.
An order of tutors made up of over 200 volunteers The transmission of skills and knowledge is achieved in particular through an innovative, participatory tutoring approach, which is an essential vector for the transfer of corporate culture.

These modules are designed by Group employees with the knowledge required and generated internally by the Plateforme educational engineering department.

Conducting professional interviews allows all employees to express themselves freely with their superiors regarding their career path, training needs, and prospects for growth, whether vertically (assumption of hierarchical responsibility) or horizontally (acquisition of new skills to expand the position). The objective is to conduct 100% of the assessment interviews for all NGE employees. Interviews for the second half of the career, relating to senior citizens, were implemented in 2013.

Considering that employees flourish in their work when their social life is balanced, the group pays close attention to a proper work/life balance by distributing essential recommendations (such as e-mail management, meetings not held too late, exemplary management, etc.).

Prevention policy The workplace prevention, health, and safety policy is posted everywhere at the work sites with the use of specialized equipment and a significant investment in training. Its main objective is to raise or maintain constant awareness in everyone’s mind of the inherent risks associated with all work situations.

With its 50 safety officers, NGE has a dedicated organization that coordinates the policy and action plans defined by the Senior Management within the various entities.
Committed management Every six months, Senior Management, along with supervisory staff, collectively organize site visits exclusively dedicated to safety. Senior Management also decided that each major company meeting would start with a message about prevention and that a page would be dedicated to it in each issue of the Group’s in-house magazine.
New areas of work In 2013, a Prevention Adviser in charge of asbestos risk was appointed to ensure that asbestos prevention plans had been prepared, the activity certified, and teams trained. The Group also implemented an action plan to prevent addiction.
The development of prevention and occupational safety In line with its values and convictions, NGE implements a strong and ambitious policy concerning prevention and occupational safety. Determined to make progress, the Group is totally convinced that nothing can be taken for granted on this subject. In addition to the programs and actions implemented, safety and prevention are everyone’s concern and priority on a daily basis, starting with Senior Management, which has been heavily invested as early as 2013.

Being close to employees The location of sites makes it possible to offer employment solutions regularly for the duration of the construction, which may ultimately become longer-term if locally hired employees are mobile. Professional integration is a major asset of NGE through expertise acquired during experience gained while focusing on recruitment, integration, training, and retention. Throughout the country, NGE concludes partnerships with schools preparing students for all public works trades, from the CAP to the BTS. For higher education, NGE maintains close relationships with the engineering schools, which are natural sources of recruitment.
Promoting local employment and integrating young graduates Through its proactive approach and a historic partnership with stakeholders in employment, NGE is implementing employment operations on major sites, aimed at training and recruiting local job-seekers. As a result, each year, dozens of people benefit from these actions to acquire a new profession and a new future. Thanks to this local presence, NGE promotes sector jobs and identifies the young recruits who will be the future of the company.
Controlling nuisances for local residents NGE has put in place consultation phases to inform the inhabitants of the main stages of the project and address their concerns, particularly regarding the movement of trucks and noise. The group is working to reduce the transport of materials through maximum reuse on-site.
Being a player in local economic development Under its responsible purchasing policy, on sites that are entrusted to it, NGE gives priority to local partners, contractors and suppliers in order to promote the economic development of rural areas.

of resources
NGE acts daily to reduce the impact of its work on resources by : • Developing environmentally conscious production chains; • Improving waste sorting practices; • Making employees responsible for their energy consumption and eco-gestures; • Managing energy consumption and the use of renewable forms of energy; • Optimizing watering, thus leading to the decrease in consumption in water on construction sites.
Attentive to the re-use of materials On-site re-use is a crucial issue for the public works sector because it reduces costs related to the purchase of nonrecycled materials, reduces transport-related nuisances (such as noise, risk of accidents, pollution, and CO2 emissions) and thus reduces the environmental impact from the production of these materials. More than 91% of excavated materials were re-used in 2013, compared to 85% in 2012. This recovery has reached 100% on major projects.

Production of greenhouse gas emissions overviews Under the regulatory obligations established by Article 75 of the Grenelle II Act, four entities of the NGE Group conducted their first greenhouse gas emissions overview in 2012, based on 2011 data. Three-year reduction goals are defined and associated action plans have been developed. The measures implemented include training in eco-driving, increased use of video conferencing, energy performance diagnoses in all Group premises, and the use of renewable energies. Using cold or tepid asphalt mix with technical characteristics equivalent to traditional mixes implemented at 160° C reduces CO2 emissions and enables a more rapid restoration of road traffic and improves worker safety conditions.
ECO-FRIENDLY BEHAVIOUR NGE encourages employees to be responsible for their energy consumption and eco-friendly behaviour; Many awarenessraising actions are rolled out within the company in order to strengthen employees’ adherence to the Group’s sustainable development strategy.

Encouraging
biodiversity
Attentive to encouraging biodiversity Concrete, relevant, and effective measures to reduce the negative impacts on biodiversity are widespread: • Special signs specifying the biodiversity issues identified (remarkable species, wetland, nesting area, etc.); • Installation of wildlife crossing environmental structures; • Temporary relocation of plant or animal populations. These measures are implemented in collaboration with local associations.
Concrete examples On the replacement site of the railway line between Calais and Dunkirk over 42 km, lying toadflax drew attention and was moved into a compensation area. In 2012, NGE participated in the creation of one of the first «chiropteroducts» in France for the construction of the A89 highway, allowing bats to pass over the highway without the risk of running into vehicles. Beyond the reduction of impacts on biodiversity generated by the Group’s activities, NGE is developing an offer related to the elimination of invasive species that can impair the development of the local species and thereby reduce biodiversity. Many projects integrating this offer have already been managed.

NGE accelerates its growth and outperforms the market Revenue totaled €1.445 million, an increase of 8.7% (4.9% excluding external growth) in a market still in slight decline. EBITDA surpassed the €100 million threshold for the first time. These results were obtained while investing heavily in equipment fleet (€68 million) and increasing training expenditures (€10 million, which represented 50% of net income). This is proof that people are at the heart of NGE’s project and that NGE has been given the means to achieve growth. These investments are also related to the good handling of business and demonstrate a strong belief in the future. This performance is related to three major elements: • effective commercial development; • successful, relevant and stimulating purchases; • solid operational performance.. Segment information: The Regions saw their revenue increase by 2.6% at constant scope thanks to many commercial successes. Profitability

eroded slightly, due in particular to a semester bad weather conditions. Major Projects performance was remarkable, and revenue was pulled upward by the LGV Sud Europe Atlantique, which accounted for nearly 40%. The entry of Générale Routière into the Group delivered €30 million in business in 2013. The Specialized National Subsidiaries also increased. Slightly less than 50% of revenue was achieved by TSO, whose revenue has been stable this year. The profitability of the FNS is shrinking slightly, again because of the weather, but also because these companies prepare for the future by investing heavily, including TSO for the work on the LGV Sud Europe Atlantique. After financial charges and tax, net income rose by 5.3% to exceed €20 million. Net debt grew as of December 31, 2013, but this is mainly due to the one-time effect of some major works whose WCR cycles are sometimes disconnected from business activity. In the fall of 2013, NGE implemented an efficient and modern solution to finance its working capital requirement related to its sustained growth: NGE signed a securitization agreement for a portion of its trade receivables for a maximum amount of €60 million for a period of five years. This transaction makes it possible to diversify the Group’s financing sources.
